CustomerwishestoutilizeDL'stranslationservicesinitsownsoftwareproductsand/orforotherbusinessorprivatepurposes.InordertoallowCustomertomakeuseoftheservices,CustomerisgrantedaccesstothesubscribedDLProProductsinaccordancewithandtotheextentoftheseTermsandConditions.
客户拟在其自己的软件产品中利用DL公司的翻译服务和/或用于其他商业或个人目的。为了使客户能够利用这些服务，客户被授予根据这些条款和条件并在其范围内使用订购的DL公司专业产品的权利。

1.20“Third-PartyApplications”referstoanyapplication,component,library,pluginorothersoftwarewhichareprovidedbyathirdpartyandallowCustomertouseoraccesstheProducts,e.g.translationpluginsforthird-partyapplicationsforwhichCustomerhastousetheirownAPIcredentials.

3.1General3.1一般性规定
3.1.1DLprovidesCustomerwithaccesstotheProductswithinthetermandscopeofthisAgreement,includingtheServiceSpecification.

3.1.2DLwillonlystoreContentorProcessedContentonitsserverstotheextenttechnicallyrequiredtoprovideitsservices.ContentorProcessedContentwillneitherbeperpetuallystoredonDL’sserversnorreturnedtoCustomer.ThisdoesnotapplyfortheFreeAPI.Fortheavoidanceofdoubt,DLshallbeentitledtocreateandretainaccesslogsforbilling,securityandstatisticalpurposes.SuchaccesslogsshallnotcontainanyContentorProcessedContent.However,accesslogsmaycontainmetadataofAPIRequestssuchastimeoftheAPIRequestandsizeofthetransmittedContent.
3.1.3DLwillonlyaccesstheContentand/ortheProcessedContentintheeventandtotheextentrequiredtocarryoutadiagnosisandtosolvetechnicalissueswhichmayeventuallycompromisetheavailabilityoftheservice.TotheextentrequiredforthepurposesmentionedaboveandinderogationfromSection3.1.2DLmay,inexceptionalcases,automaticallystoreContentand/orProcessedContentforamaximumperiodof72hoursincasecertainerrorpatternsoccurduringtheprocessingofthetranslationrequest.TheContentand/ortheProcessedContentwillbestoredinanencryptedformforthedurationofthedebuggingprocessandwillbeautomaticallydeletedafterwards.TheaccesstothecryptographickeysforthedecryptionoftheContentsand/oroftheProcessedContentswillonlybegrantedinindividualcasesinthecontextofaloggedprocessforselectedemployeesofDLwhoareboundtosecrecyandaftertheaccesshasbeenapprovedbythecompanymanagement.TheContentsand/orProcessedContentsstoredfordebuggingpurposeswillnotbelinkedtoanyindividualCustomer.
3.1.4DLwillmakeuseoftheCustomerTrainingDataexclusivelyinconnectionwiththetranslationsoftherespectiveCustomer.Furthermore,DLwillstoreandprocessitforthedurationoftheAgreementinawaythatnounauthorisedpersonswillgainaccesstoit.AstheCustomerTrainingDataisprocessedinanautomaticway,itmaybedeletedupontheCustomer’srequest.However,itcannotbereturnedtotheCustomer(asDLdoesnotofferanydatastorageservice).
3.1.5DLreservestherighttoaddadditionalfeaturestotheservicesatanytime.Furthermore,DLmaychange,limitorremoveexistingfeaturesforreasonsofdatasecurity,technicalnecessitiesorduetochangesinapplicablelaw,providedthatthechange,limitationorremovalisreasonableforCustomerinconsiderationoftheinterestsofbothParties.DLshallinformCustomerofsuchchangesinduetimeinwriting(e-mailsufficient).
3.1.5DL公司保留在任何时候为服务增加额外功能的权利。此外，公司可以出于数据安全、技术需要或由于适用法律的变化而改变、限制或删除现有的功能，前提是考虑到双方的利益，这种改变、限制或删除对客户是合理的。公司应在适当的时候以书面形式（电子邮件即可）通知客户此类变化。
3.1.6Furtherservices,includingbutnotlimitedtoconsulting,individualdevelopment,orimplementationortrainingservices,shallonlybeowedbyDLuponexpresswrittenagreement.

3.1.7DLisentitledtosubcontractthirdpartiestofulfilitscontractualdutiesinwholeorinpart.

3.1.8CustomermaygrantInternalUsersaccesstotheProductsinitssolediscretion.However,CustomershallbefullyliableforanyuseoftheProductsbyInternalUsersandshallensurethatInternalUsersareawareofandrespectanyandallrestrictionsfortheuseofProductssetoutinthisAgreement.CustomershallpromptlynotifyDLofanysuspectedorallegedviolationofthisAgreementandshallcooperatewithDLwithrespecttoinvestigationofsuchviolationsaswellastoanyactionbyDLtoenforcethisAgreement.
3.1.8客户可自行决定授予内部用户访问产品的权利。然而，客户应对内部用户对产品的任何使用承担全部责任，并应确保内部用户了解和尊重本协议中规定的对产品使用的任何和所有限制。客户应及时通知公司任何涉嫌或被指控违反本协议的行为，并应与公司合作，对此类违反行为进行调查，并配合公司执行本协议的任何行动。
3.2API3.2程序接口
InadditiontoSection3.1,thefollowingshallapplytotheAPI:

3.2.2TheAPIallowsCustomertousethetechnicalinfrastructureformachinetranslationoperatedbyDLbymeansoftransmittingContenttothetechnicalinfrastructure.DLshallprocesstheContentinaccordancewiththisAgreement,theServiceSpecificationandtheDocumentation.However,DLisneitherobligatedtoensurenorwarrantscorrectnessoraccuracyofAPIResponsesorProcessedContent.Inparticular,DLdoesnotgiveanyguaranteeregardingthecorrectnessofthetranslationscreatedbythemachinetranslationsystem.

3.2.3DLmay,initssolediscretion,provideCustomerwithsoftwaredevelopmentkitsorcodesamples(hereinafterjointlyreferredtoas“CodeSamples”).CodeSamplesareprovidedfreeofchargeandareexcludedfromthepaidservicesprovidedbyDL.CodeSamplesareprovidedinelectronicformandcanbedownloadedfromadedicatedwebsite.DLisnotobligatedtocontinuedevelopmentofCodeSamplesortokeepCodeSamplesfunctionaloravailableatalltimes.CodeSamplesarenotsuitedforanyuseinproductionenvironmentsandareprovidedforeducationalpurposesonly.
3.2.3DL公司可以自行决定向客户提供软件开发工具包或代码样本（以下统称为"代码样本"）。代码样本是免费提供的，不包括在公司提供的付费服务中。代码样本是以电子形式提供的，可以从专门的网站下载。公司没有义务继续开发代码样本或保持代码样本的功能或始终可用。代码样本不适合在生产环境中使用，只为教育目的提供。
3.2.4Particularlyinviewoftheon-goingdevelopmentoftheAPI,DLmayintroducenewversionsoftheAPIwithanadditionalordifferentrangeoffeatures.Furthermore,DLmayterminatedeprecatedversionsoftheAPIprovidedthattheterminationisreasonableforCustomerinconsiderationoftheinterestsofbothParties.DLshallinformCustomerofsuchterminationinwriting(e-mailsufficient)atleast4weeksbeforetheterminationbecomeseffective.DLwillinformCustomerofupdatesoftheAPIviae-mail.

3.2.5SomeThird-PartyApplicationsmayrequireCustomertoacquireProductsfromDLinordertousecertainfeaturesoftheThird-PartyApplications(e.g.translationplugins).DLisnotresponsibleforanyThird-PartyApplication.AnyuseofsuchThird-PartyApplicationissolelysubjecttothetermsandconditionsofitsrespectivevendorandDLdoesnothaveanyinfluenceonsuchThird-PartyApplications.

4.1DLshallprovideanannualaverageof97%uptimeavailabilityforthefee-basedProducts.TheavailabilitycalculationexcludesanydowntimeforplannedmaintenanceworkaswellasserviceinterruptionswhicharebeyondDL’scontrol,includingbutnotlimitedtoshort-termandundueincreaseinthenumberoftranslationrequestsbyCustomerwhichrequiresanunplannedincreaseinsystemcapacity.
4.2SubjecttotheexceptionsinSection4.1,availabilityshallbecalculatedasthenumberofhourstheservicesoftheProductsarefunctional,dividedbythetotalnumberofhourswithintherespectivecalendaryear.

5.1InordertoconcludeacontractregardingDL’sservicesunderthisAgreementitisrequiredtoprovideane-mailaddressandapasswordandthenenteringabillingaddressandpaymentinformation.Afterthat,asummaryoftheorderwillbedisplayedforreview.IfCustomer,afterhavingagreedtotheseTermsandConditionsandtotheServiceSpecification,clicksontheOrderButtonthecontractisconcludedwhenthesubsequentpageloadssuccessfullyandasubscriptionnumberisprovided.

5.2DLreservestherighttorejectCustomerrequeststoconcludeacontract.Inthisevent,DLwilldisplayarespectivemessageduringthebuyingprocess,atlatestwhenCustomerhasclickedtheOrderButton.Inparticular,DLrejectscontractswithCustomersprovidingmachinetranslationservices,includingbutnotlimitedtoAmazon.com,Inc.,MicrosoftCorporation,GoogleLLC,AlphabetInc.,AppleInc.,FacebookInc.,andtheirsubsidiaries.

5.3UntilclickingtheOrderButton,Customercanchangeoraborttheorderatanytime.

5.4Furthermore,inderogationofSections5.1to5.3,thecontractconcerningtheservicesofferedbyDLcanbeenteredintobyothermeansofdistancecommunication(e.g.e-mail).Inthiscase,DLwillprovidetheCustomerwiththeseTermsandConditionsandtheServiceSpecificationbeforeenteringintothecontract,whichwillbeenteredintoeitherassoonasDLexpresslyconfirmstheconclusionofthecontractorbyputtingtheProductsatCustomer’sdisposal.

6.2在免费试用期结束后，免费试用订阅将自动延长至客户所选产品的付费订购。在免费试用期内，DL公司或客户可以在任何时候终止免费试用订购。如果公司或客户提前终止免费试用订阅，免费试用订阅不会继续作为付费订购。
7.1DLgrantsCustomeranon-exclusive,non-transferable,non-sublicensableworldwiderighttousetheProductsforitsinternalintendedpurposeforthetermandwithinthescopeofthisAgreement,subjecttotheauthorisednumberofInternalUsersforwhichCustomerhaspaidDL.
7.2DLgrantsCustomeranon-exclusive,non-transferable,non-sublicensableworldwiderighttousetheprovidedDocumentationandsupportmaterialsforthetermandwithinthescopeofthisAgreement,inparticular,toreproducethemandprovidethemtoInternalUsersorcontractorstotheextentrequiredfortheintendeduseoftheProducts.
7.3DLgrantsCustomeranon-exclusiverighttousetheprovidedCodeSamplesforeducationalandinternaldevelopmentpurposeswithoutrestrictioninregardtotimeorlocation,inparticulartoreproducetheCodeSamplesandprovidethemtoInternalUsers,tomodifyandcreatederivativeworksoftheCodeSamplesandtouse,sub-licenseordistributesuchderivativeworkswithoutlimitation.
7.4AllrightsregardingtheContent,ProcessedContentand/orCustomerTrainingDataremainwithCustomer.However,CustomergrantsDLthenon-exclusiveworldwiderighttousetheContentand/orCustomerTrainingDatasolelyinordertoprovideDL’sservicestoCustomer.Inparticular,CustomergrantstoDLtherighttotemporarilystore,modify,process,translateandtransmittheContentand/orCustomerTrainingData,andtosublicensetheforegoingrightstoitssubcontractors,totheextentrequiredtoprovidetheservicessetoutinthisAgreement.

7.5DLdoesnotassumeanycopyrightstothetranslationsmadebyCustomerusingtheProducts.IntheeventthatthetranslationsmadebyCustomerusingtheProductsaredeemedtobeprotectedundercopyrightlawstothebenefitofDL,DLgrantstoCustomer,uponcreationofsuchtranslations,allexcusive,transferable,sublicensable,worldwideperpetualrightstousethetranslationswithoutlimitationandforanyexistingorfuturetypesofuse,includingwithoutlimitationtherighttomodifythetranslationsandtocreatederivativeworks.

8.1.1CustomermayusetheProductssolelyforthepurposeagreedbetweentheParties.Inparticular,Customermaynot,andwillnotallowthirdparties(includingInternalUsersandEndUsers)tousetheProducts,translationscreatedusingtheProducts,Documentationorotherdata,informationorserviceprovidedbyDLunlessexpresslyauthorisedbyDLinwrittenform.
a)inconnectionwithorforthepurposeofoperatingcriticalinfrastructuresuchaselectricalpowerstations,militaryordefenceequipment,medicalappliancesorotherequipmentwhosefailureorimpairmentwouldresultinunforeseeableeconomicalorphysicaldamages,includingbutnotlimitedtocriticalinfrastructureintermsoftheEuropeanDirective2008/114/EC;

8.1.2CustomerisobligatedtokeeptheaccesscredentialsprovidedbyDLsecureandundertakesnottodisclosethemtoanythirdpartiesunlessrequiredforthecontractuallyintendedandpermitteduseoftheProducts.CustomerisnotentitledtorepackageorresellaccesscredentialsoritsaccesstotheProductstoanythirdpartiesunlessexpresslyagreeduponotherwise.

8.1.3Customerisobligatedtoobservealllegalrequirementsforthecollection,processinganduseofdatawhichistransmittedtoandprocessedbyDLforCustomerinconnectionwiththeprovisionofitsservicesunderthisAgreement.Inparticular,CustomershallimmediatelyagreewithDLonadataprocessingagreement(whichshallbeprovidedbyDL)ifCustomerintendstotransmitpersonaldatatoDLusingtheProducts.Customerguaranteesnottocollect,processoruseanypersonaldatainconnectionwiththeProductswithouttheexpressconsentofthedatasubjectorsufficientotherlegalauthorisation.DLwillreasonablycooperatewithCustomerinordertoassistCustomerinimplementingsuchrequiredlegalauthorisations.
8.1.4CustomershallindemnifyDLfromanyandallthird-partyclaimsincludingthenecessaryexpensesforlegaldefence,assertedagainstDLduetoaculpableviolationofthisAgreementbyCustomer.IfthirdpartiesshouldassertsuchclaimsagainstDL,DLshallinformCustomerabouttheassertedclaimswithoutunduedelayandleavethedefenceatthediscretionofCustomerorundertakeitincooperationwithCustomer.DLshallnotsettleorrecogniseclaimsofthirdpartieswithoutCustomer’sconsentwhichshallnotbeunreasonablywithheldordelayed.DLshallbeentitledtorequestareasonableadvancefortheincurredlegaldefenceexpensestobeanticipated.Theindemnificationshallaccordinglyapplytofinesorotherregulatoryorjudicialordersandclaims.

8.1.5IntheeventthatCustomerusesThird-PartyApplicationstoaccesstheProducts,CustomershallcomplywiththeacceptableusepoliciessetoutbythevendoroftheThird-PartyApplicationifapplicable.

8.2DLProTranslator8.2DL专业翻译器
InadditiontoSection8.1,thefollowingshallapplytotheDLProTranslator:

8.2.1CustomershallnotbeallowedtoaccessandcontroltheDLProTranslatorthroughautomatedprocedureswhichmaycauseanincreasednumber(exceedingusualhumanbehavior)ofrequeststotheDLProTranslator.

d)TheCustomershallnotindicateanyIPrangestoDLwhichmaybeusedbyusersotherthantheInternalUsers.DLmayblocktheaccesstotheDLProTranslatorfortheIPrangesintheeventtherearefactualindicationsaccordingtowhichusersotherthantheInternalUsersgainaccesstotheDLProTranslatorthroughthem.DLwillinformtheCustomerimmediatelyaboutsuchblockingandwillreleaseitwithinareasonableperiodoftimeintheeventtheCustomerdisprovesthesuspicionorhasrestrictedtheaccesstotheIPrangetoInternalUsersbyprovidingevidenceofthisfacttoDL.
8.3API8.3程序接口
InadditiontoSection8.1,thefollowingshallapplyconcerningtheAPI:

8.3.2CustomermustcomplywithalltechnicalrequirementssetoutintheServiceSpecificationandtheDocumentation.Inparticular,CustomermustensurethatanyContentistransmittedtotheAPIinavaliddataformatanddataencoding.

8.3.3IftheCustomerprovidesanApplicationtoitsEndUsers,theCustomermustdisclosetotheseEndUsersthatanyProcessedContentdisplayedtotheEndUserswithoutmanualmodificationofCustomerhasbeencreatedusingtheDLAPIbyeitherdisplayingthelogoorthebrandname(includingthedomain)ofDL,unlessexpresslyagreeduponotherwise.However,CustomermustnotexpressorimplythatDLisresponsiblefortheProcessedContentsorthatCustomeractsonbehalfofDL.CustomerwillceaseanyuseoftheDLlogoand/orbrandnameonDL’srequest.

8.3.4IntheeventthatCustomerusestheAPIwithinanApplicationwhichisdistributedonthird-partyplatforms(e.g.mobileapps),itisCustomer’ssoleresponsibilitytocomplywithanyandallrequirementsandtermsofserviceofsuchthird-partyplatforms.

8.3.5IntheeventthatadisclosureofaccesscredentialstothirdpartiesisrequiredforthecontractuallyintendeduseoftheAPI,Customerissolelyresponsibletotakeadequateandeffectiveprecautionstoprotecttheaccesscredentialsfrommisuseorunauthorisedaccess.Inparticular,accesscredentialsmaynotbestoredinconfigurationfilesinplaintextandmaynotbetransmittedoverunencryptedpublicnetworkconnections.
8.3.6Customerisobligatedtoadheretoanysecurityprecautions,functionalandotherlimitationsoftheAPI.Inparticular,Customermustnotbypass,remove,defeat,avoid,deactivateorotherwisecircumventprotectionorauthenticationmechanismsormisuseAPImethodsforpurposesotherthanthoseintendedorexpresslydocumented.
8.3.6客户有义务遵守程序接口的任何安全预防措施、功能和其他限制。特别是，客户不得绕过、移除、击溃、避免、停用或以其他方式规避保护或认证机制，或将程序接口方法滥用于预定或明确记载的目的之外。
8.3.7Totheextentreasonableandtechnicallypossible,CustomermusttakeprecautionsduringtheimplementationoftheApplicationusingtheAPItoensurethatCustomer’sApplicationwillcontinuetoworkproperlyeveniftheAPIisnotavailable,whethercausedbyDL’sorCustomer’sfault.
8.3.7在合理和技术上可能的范围内，客户必须在使用程序接口实施应用程序期间采取预防措施，以确保客户的应用程序即使在程序接口不可用的情况下也能继续正常工作，无论其原因是DL公司还是客户的过失。
8.3.8CustomershallimmediatelyinformDLiftherearereasonstoexpectasignificantincreaseinthenumberofAPIRequestsforreasonssuchasanextraordinarysurgeinEndUsers,unusualmarketing,promotionsorothercampaigns.
8.3.8如果有理由预计程序接口请求的数量会因终端用户异常激增、不寻常的营销、促销或其他活动等原因而大幅增加，客户应立即通知DL公司。
8.3.9IfDLprovidesanewversionoftheAPI,CustomershallimplementthenewversionoftheAPIintoitsApplicationwithinareasonableperiodoftimefromtheannouncementofthenewAPIversion,consideringtheextentofthechanges,usualdevelopmenttimeintheindustryandthejustifiedinterestsofCustomer,includingtheindividualcapacitiesofCustomer.
8.3.10IfCustomerusestheFreeAPI,CustomershallnotprocessanypersonaldatawiththeAPI.IntheeventofaculpableviolationbyCustomer,CustomerwillindemnifyDLfromallclaimsofthirdparties,includingthenecessarycostsforlegaldefenseaswellasfinesorotherofficialorjudicialordersandclaims,whichareassertedagainstDLasaresultoftheprocessingofpersonaldatabyCustomerinviolationoftheagreement.Section8.1.4appliesaccordingly.
8.3.10如果客户使用免费的程序接口，客户不应使用其处理任何个人数据。如果客户违规，客户将赔偿DL公司的所有第三方索赔，包括必要的法律辩护费用以及罚款或其他官方或司法命令和索赔，这些索赔是由于客户违反协议处理个人数据而对公司提出的。第8.1.4条规定相应适用。
9.1Ifremunerationhasbeenagreedupon,Customershallpaythebaseremunerationaswellasusage-basedremunerationasstipulateduponconclusionoftheAgreement.

9.3APIRequestsshallbebillableintermsofSection9.1if(i)theAPIRequesthasbeensuccessfullytransmittedusingtheAPIand(ii)therehasbeenavalidAPIResponseinaccordancewiththeDocumentation.ServererrorsshallbedeemedasvalidAPIResponseonlyiftheyoccurduetofailuresonCustomer’sside,includingtheuseofincorrect,incompatibleorinsufficientContentorotheruseoftheAPIwhichdoesnotcomplywiththetechnicalrequirementssetoutintheServiceSpecificationorDocumentationprovidedbyDL.TextsenteredintotheDLProTranslatorshallbebillableintermsofSection9.1iftranslatedanddisplayedintheDLProTranslator.
9.3根据第9.1条的规定，如果(i)程序接口请求已成功使用程序接口传输，以及(ii)根据文件规定有一个有效的程序接口回应，则程序接口请求应计费。只有当服务器错误是由于客户方面的故障造成的，包括使用不正确、不兼容或不充分的内容或其他不符合服务规范或DL公司提供的文件中规定的技术要求的程序接口使用，才应被视为有效的程序接口响应。如果在专业翻译器中翻译和显示的文本，应根据第9.1条的规定进行收费。
9.4AllamountsareunderstoodtoincludeVAT,unlessexpresselyspecifiedas“netto”or“net”.

9.7IftheCustomerchoosestopaybycreditcardorSEPAdirectdebitforProductswithavariableremuneration(inparticularwhenusingtheAPI),DLreservestherighttodebitadvancepaymentsinthecourseofthebillingperiod.Afirstadvancepaymentisdueassoonasthenumberofcharactershasexceededacertainequivalentvalue.Thevalueoftheadvancepaymentmayvarybetweenanamountof10EURandanamountof500EUR(accordingtotherespectiveCustomerandhisusagebehaviour).TherelevantequivalentvaluerelatedtothesubsequentprepaymentswillbebasedonthefutureusageoftheCustomer.Attheenddateofthebillingperiod,thebasicpriceaswellastheoutstandingusage-dependentpaymentwillbedue.TheCustomerwillreceiveamonthlyinvoice.
9.8IfDLisnotabletodebitthedueadvancepaymentinaccordancewithSection9.7,DLwillblocktheaccessoftheCustomertotheProducts.Assoonasthedebitissuccessful,DLwillimmediatelyrestoretheaccess.
9.8如果DL公司不能按照第9.7条的规定扣取到期的预付款，公司将阻止客户对产品的访问。一旦扣款成功，公司将立即恢复访问。
9.9DLreservestherighttoblocktheaccesstotheProductsiftheCustomerhasnotpaidanyduefeeafterhavingbeensentawrittennotificationbyDL(anotificationsentbyemailwillsuffice).IftheCustomerpaysalloutstandingclaims,DLwillwithoutanydelay,butatthelatestwithinthree(3)workingdaysafterthereceiptoftheentirepaymentbyDL,restoretheaccessoftheCustomer.Dependingontheselectedpaymentmethod,thefollowingwillapplyadditionally:
9.9如果客户在收到DL公司的书面通知（通过电子邮件发送的通知即可）后仍未支付任何到期费用，公司有权阻止客户对产品的访问。如果客户支付了所有未付的费用，公司将毫不拖延地，但最迟在收到全部付款后的三（3）个工作日内，恢复客户的访问。根据所选择的付款方式，以下内容将额外适用。
9.9.1Incasepaymentsaremadebyinvoice,DLwillinformtheCustomeroftheimpendingblockingaftertheduedateandwillrequestpaymentfromtheCustomer.Incasethepaymentisnotmadewithinatermofthree(3)subsequentworkingdays,DLwillbeentitledtoblocktheaccessoftheCustomer.Aftertheblocking,DLwillsendanotherpaymentrequesttotheCustomerinordertorestoreaccess.

9.9.2IncaseDLisnotabletodebittheduepaymentforpaymentsmadebycreditcardorSEPAdirectdebit,DLwillasktheCustomertoupdatetheagreedpaymentmethodortoprovideanewpaymentmethodandwillinformtheCustomeroftheimpendingblocking.Incasethedebitcontinuestofailafterthenotification,DLisentitledtoblockaccesstotheProducts.Aftertheblocking,DLwillsendanotherrequesttotheCustomertoprovideanewpaymentmethodinordertorestoreaccess.
9.9.2如果DL公司无法从信用卡或SEPA（欧元支付体系）直接扣款支付的到期款项中扣款，公司将要求客户更新约定的付款方式或提供新的付款方式，并将通知客户即将被阻止访问的情况。如果在通知之后，扣款仍然不成，公司有权阻止客户对产品的访问。封锁后，公司将再次向客户发出请求，要求其提供新的付款方式，以恢复访问。
9.9.3如果根据适用的法律，客户有义务从支付给DL公司的款项中扣留一定数额的税款、关税、税费或类似款项（以下简称"预扣税款"）并汇给相应的税务机关，客户应付给公司的金额将增加上述预扣税款的数额。因此，在每一种情况下，公司应从客户那里获得与客户在不适用该预扣税款的情况下必须支付的金额相对应的金额。客户有义务按照适用法律的要求预扣预提税，并向主管税务机关支付上述金额。客户有义务向公司提供与适当预扣和相应支付到期预扣税款有关的证明。公司将合理地与客户合作，以确定是否需要从公司提供的服务中扣除或预扣预扣税款。如果是这样，在法律允许的范围内，公司将与客户合作，以减少适用的预扣税款，并将任何要求偿还预扣税款的要求转让给客户（如果适用）。
10.1TheAgreementisconcludedforanindefiniteperiodoftime.EachPartymayterminatetheAgreementatanytimewitheffecttotheendofthecurrentbillingperiod.

10.2IfthePartiesagreetoafixedterm,thetermshallbeautomaticallyextendedbytheagreedfixedtermunlesstheAgreementisterminated.

10.3Thestatutoryrightofterminationforgoodcauseremainsunaffected.

10.4DLreservestherighttorestrictorsuspendAPIfeaturesforotherreasonsthanthosespecifiedinSection3.2.4.Insuchcase,DLshallinformCustomeroftheproposedchangeswithtwomonths’priornoticeinwriting(e-mailsufficient).Furthermore,DLshallgrantCustomerareasonableperiodofatleasttwo(2)monthstodeclarewhetherornotCustomeracceptstheproposedchanges.IfCustomerdoesnotgiveanynoticewithinthisperiod,whichshallcommencerunningfromthereceiptofthenotification,theproposedchangesshallbedeemedasagreed.DLshallinformCustomeroftothislegalconsequence,i.e.,therightofobjection,theobjectionperiod,andtheimplicationsofremainingsilent.IntheeventCustomeropposesthechangewithintheterm,theagreementcanbeterminatedbyeachpartywithoutcomplyingwithaterm.
10.5Intheevent10.5如果发生以下情况
a)ofasevere,persisting,imminentorrepeatedmaterialbreachoftheseTermsandConditions,inparticularanobligationsetforthinSection8or

b)DLhasfactualindicationofanautomateduseoftheDLProTranslatoraccordingtoSection8.2.1,

DLshallbeentitledtotemporarilysuspendCustomer’saccesstotheProductsuponpriorwrittennotice(e-mailsufficient).

NotwithstandingfurtherrightsunderthisAgreement,DLshallrestoreaccesswithinareasonableperiodoftimeifthebreachdoesnotcontinue,isnolongerimminent,orCustomerhasprovidedabindingstatementthatthebreachwillnotberepeated.Intheeventofanactwithfraudulentintent,DLisentitledtosuspendCustomer'saccesstotheProductsimmediatelyandindefinitely.Customerisinformedinwriting(e-mailissufficient).Thesuspicionoffraudulentintentissufficient.Fraudulentintentliesinparticularinthefollowingcases:
a)Thee-mailaddressusedforregistrationdoesnotexistorisobviouslynotvalid;

10.6IncaseCustomerviolatestherestrictionsonusingtheDLAPIkeyincertaintypesofproducts(Section8.1.6),utilizesProductswithunlimitedusageinawayinwhichtheywerenotintendedto(e.g.accessingtheDLProTranslatorinanautomaticway)orallowsmoreuserstoutilizeProductsthanlicensed,DLreservestherighttodisabletheaccessandcanceltheAgreementwithimmediateeffect.Inthiscase,Customerwillberefundedfeesalreadypaidproportionally.

10.7ForProductswithamaximummonthlyusagecap,DLwillonlyallowthecontractednumberofcharacters(asdescribedintheServiceSpecification)tobetranslatedwithinabillingperiod.Oncethemonthlyusagelimitisreached,CustomerwillnolongerbeabletousetheProducts,unlessaProductwithahighernumberofcharactershasbeenpurchased(ifavailable).

Effectsofwithdrawal
Ifyouwithdrawfromthiscontract,weshallreimbursetoyouallpaymentsreceivedfromyou,includingthecostsofdelivery(withtheexceptionofthesupplementarycostsresultingfromyourchoiceofatypeofdeliveryotherthantheleastexpensivetypeofstandarddeliveryofferedbyus),withoutunduedelayandinanyeventnotlaterthan14daysfromthedayonwhichweareinformedaboutyourdecisiontowithdrawfromthiscontract.Wewillcarryoutsuchreimbursementusingthesamemeansofpaymentasyouusedfortheinitialtransaction,unlessyouhaveexpresslyagreedotherwise;inanyevent,youwillnotincuranyfeesasaresultofsuchreimbursement.

12.1IfCustomerisaconsumerpursuanttoSection13GermanCivilCode(“BGB”)orCustomeronlyusesthefreeservices,Customerisentitledtothestatutorywarrantyrights.

12.2.1IftheservicesfortheProductsprovidedbyDLaredefective,DLshallprovideanimprovedornewserviceofitschoicewithinareasonabletermasofreceivingawrittencomplaintfromCustomer.Ifthird-partysoftwarewhichDLhaslicensedfromthirdpartiesisbeingused,procurementofpubliclyavailableupgrades,updatesorpatchesshallbedeemedsufficient.

12.2.2CustomermayreducetheagreedremunerationbyasuitableamountifforreasonsattributabletoDL,theproperprovisionofservicesisnotassuredwithinareasonableperiodoftimesetbyCustomer.Therighttoreductionislimitedtothepartoftheserviceswhichisdefectiveascomparedtothemonthlyremuneration.
12.2.3IfthereductionasperSection12.2.2continuesfortwo(2)consecutivemonths,orintwo(2)monthsofaquarter,CustomermayterminatetheAgreementwithoutnotice.

12.2.4CustomershallimmediatelyinformDLofanyoccurringdefectsinwriting.

13.4Incaseofaslightnegligence,DLwillonlybeliableincaseofabreachofsignificantcontractualobligations(“vertragswesentlichePflichten”).Inthesaidcase,theliabilityofDLwillbelimitedtothetypicalandforeseeabledamageatthetimethecontracthasbeenenteredinto.Asignificantcontractualobligationwithinthemeaningofthissectioncorrespondstoanobligationthefulfilmentofwhichpermitstheproperperformanceofthecontractinthefirstplaceandonthefulfilmentofwhichtheotherpartyregularlyreliesandmayrely.

14.1DLcanmodifyandadaptthepresentTermsandConditionswitheffectforthefutureintheeventthereisanyvalidreasonforthemodificationandifthesaidmodificationsarereasonableconsideringtheinterestsofbothcontractingparties.AvalidreasonespeciallyexistsincaseofasignificantdisruptionoftheequivalencerelationshipoftheAgreementwhichhadbeenunforeseeableforDLatthedateitenteredintotheAgreement,isrequiredbecauseoftechnicalorlegalmodificationsorinordertointegratenewfeatureswhichareadditionallyprovidedafterhavingenteredintotheAgreementandwhichrequirecontractualregulations.Themodificationofamajorcontractualobligation(“Hauptleistungspflicht”)shallbeexcluded.

14.2DLwillsubmitthemodifiedtermsandconditionsintextformtotheCustomeratleasteightweeksbeforetheyareplannedtocomeintoforceandwillmakeaseparatereferencetothenewprovisionsandtothedateoftheirentry.DLwillgranttheCustomerareasonabledurationoftimeofatleasteightweeksinordertomakethedeclarationaboutwhethertheCustomeracceptstheamendedtermsandconditionsforthefurtheruseoftheProducts.Ifnodeclarationismadewithinthisperiod,whichshallcommencerunningfromthereceiptofthenotificationintext-form,themodifiedtermsandconditionsshallbedeemedasstipulated.DLshallseparatelyadviseCustomeratthecommencementofthenoticeperiodastothislegalconsequence,i.e.therightofobjection,theobjectionperiod,andtheconsequencesofafailuretoobject.IncasetheCustomerobjectstothemodificationwithinthesaidperiod,theAgreementmaybeterminatedbyeitherpartywithoutnoticeintheeventtheadherencetotheagreementisunreasonableafterhavingweightedtheinterestsofbothparties.

16.1TermsandconditionsofCustomershallnotbepartofthisAgreement,unlessDLhasexpresslyagreedinwrittenform.

16.2AmendmentstothisAgreementandanysideagreements,includingtheServiceSpecification,themainbodyofthisAgreementandanypotentialappendices,mustbeinwrittenform.Thisalsoappliestoawaiverofthiswrittenformclause.

16.4ThisAgreementshallbeexclusivelygovernedbythelawoftheFederalRepublicofGermanyexcludingCISGandconflictoflawprovisions.IntheeventthatCustomerisconsumerintermsofSection13GermanCivilCode(“BGB”),mandatorystatutoryconsumerregulationsaccordingtothelawofthecountrywheretheconsumerhashishabitualresidenceshallremainunaffected.
16.4本协议只受德意志联邦共和国法律的管辖，不包括《销售公约》和法律冲突条款。如果客户是《德国民法典》（"BGB"）第13条规定的消费者，则根据消费者惯常居住地所在国的法律，强制性的法定消费者条例不受影响。
16.5TheexclusivelegalvenueforalldisputesresultingfromorinconnectionwiththisAgreementisCologne,providedthatthecontractingpartiesarebusinesspeople(“Kaufleute”),orthatCustomerhasnogenerallegalvenueinGermanyorinanotherEUMemberState,oritspermanentresidencehasmovedtoaforeigncountryaftertheseTermsandConditionshaveenteredintoeffect,ortheresidenceorhabitualdomicileisnotknownatthetimethatthecomplaintwasfiled.
16.5由本协议引起的或与本协议有关的所有争议的专属法律地点是科隆，前提是合同双方是商业人士，或者客户在德国或其他欧盟成员国没有一般的法律地点，或者在本条款生效后其永久住所已迁至外国，或者在提出申诉时不知道其住所或惯常居所。
