六、乙方的责任ObligationsofPartyB:

七、违约处理BreachofAgreement:

八、不可抗力ForceMajeure:

十、争议的解决DisputeResolution:

五、押金/Deposit

2.除合同另有约定外，甲方应于租赁关系解除且乙方迁空、点清并付清所有应付费用后的当天将押金全额无息退还乙方。
Unlessotherwiseprovidedforbythiscontract,PartyAwillreturnfullamountofthedepositwithoutinterestonthedaywhenthiscontractexpiresandpartyBclearsthepremisesandhaspaidallduerentalandotherexpenses.
IncasepartyBbreachesthiscontract,partyAhasrighttodeductthedefaultfine,compensationfordamageoranyotherexpensesfromthedeposit.Incasethedepositisnotsufficienttocoversuchitems,PartyBshouldpaytheinsufficiencywithintendaysafterreceivingthewrittennoticeofpaymentfromPartyA.
4.因甲方原因导致乙方无法在租赁期内正常租用该物业，甲方应立即全额无息退还押金予乙方，且乙方有权追究甲方的违约责任。
IfPartyBcan’tnormallyusetheapartmentbecauseofPartyA,PartyAshouldreturnthedeposittoPartyBatonce.And,PartyBhastherighttoaskforthecompensationfromPartyA.
六、甲方义务/ObligationsofPartyA
1.甲方须按时将房屋及附属设施（详见附件）交付乙方使用。
PartyAwillprovidethepremisesandattachedfacilities(seetheappendixoffurniturelistfordetail)onscheduletoPartyBforusing.
Incasethepremiseandattachedfacilitiesaredamagedbyqualityproblems,naturaldamagesor
accidents,PartyAwillberesponsibletorepairandpaytherelevantexpenses.IfPartyAcan’trepairthedamagedfacilitiesintwoweekssothatPartyBcan’tusethefacilitiesnormally,PartyBhastherighttoterminatethecontractandPartyAmustreturnthedeposit.
3.甲方应确保出租的房屋享有出租的权利，如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件，甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款，反之如乙方权益因此遭受损害，甲方应负赔偿责任。PartyAwillguaranteetheleaserightofthepremises.IncaseofoccurrenceofownershiptransferinwholeorinpartandotheraccidentsaffectingtherightofleasebypartyB,.partyAshallguaranteethatthenewowner,andotherassociated,thirdpartiesshallbeboundbythetermsofthiscontract.Otherwise,PartyAwillberesponsibletocompensatepartyB’slosses.
七、乙方义务/ObligationsofPartyB
1.乙方应按合同的规定按时支付租金及押金。

2.乙方经甲方同意，可在房屋内添置设备。租赁期满后，乙方将添置的设备搬走，并保证不影响房屋的完好及正常使用。

3.未经甲方同意，乙方不得将承租的'房屋转租或分租，并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损，乙方应承担赔偿责任。
PartyBwillnottransfertheleaseofthepremisesorsubletitwithoutPartyA’sapprovalandshouldtakegoodcareofthepremises.Otherwise,PartyBwillberesponsibletocompensateanydamagesofthepremisesandattachedfacilitiescausedbyitsfaultandnegligence.
4.乙方应按本合同规定合法使用该房屋，不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则，如该房屋及附属设施因此受损，乙方应承担全部责任。

八、合同终止及解除的规定/Terminationanddissolutionofthecontract
1.乙方在租赁期满后如需续租，应提前一个月通知甲方，由双方另行协商续租事宜。在同等条件下乙方享有优先续租权。
Withinonemonthbeforethecontractexpires,PartyBwillnotifyPartyAifitintendstoextendthelease.Inthissituation,twopartieswilldiscussmattersovertheextension.UnderthesametermsPartyBhastheprioritytoleasethepremises.
2.租赁期满后，乙方应将房屋交还甲方；任何滞留物，如未取得甲方谅解，均视为放弃，任凭甲方处置，乙方决无异议。

3.本合同一经双方签字后立即生效；未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行协商。

九、违约及处理/Breachofthecontract
1.甲、乙双方任何一方在未征得对方谅解的情况下，不履行本合同规定条款，导致本合同中途终止，则视为该方违约，双方同意违约金为元整，若违约金不足弥补无过错方之损失，则违约方还需就不足部分支付赔偿金。

2.若双方在执行本合同或与本合同有关的事情时发生争议，应友好协商；协商不成，可向有管辖权的人民法院提起诉讼。

(1)VOLKSWAGENGROUPIMPORTCO.,LTD.(companynameinChinese:(formerlyknownasVolkswagenImportCo.,Ltd),awhollyforeignownedlimitedliabilitycompanyincorporatedunderthelawsofPRCwhoseregisteredaddressisatRoom519-3TengdaBuilding,No.18,InternationalTradeRoad,TianjinPortFreeTradeZone(the“VGIC”);and
大众汽车（中国）销售有限公司（以前叫做“大众汽车销售有限公司”），该公司为外商独资有限公司，依据中华人民共和国的法律组建而成，注册地址为：

EachofVGICandtheDealerisa“party”,andcollectivelyarethe“parties”.
大众公司和经销商在本协议中单独称为“一方”，集体称为“双方”。
WHEREAS:鉴于：
A.ThepartiesenteredintoaContractwithAuthorizedPurchaser(Dealer)ofLamborghiniImport“DealerContract”).
B.ThepartiesagreetoterminatetheDealerContractinaccordancewith,andsubjectto,thetermsandconditionsofthisAgreement.
协议双方同意根据本协议的条款和条件终止所述经销商合同。
THEREFOREthepartiesherebyagreeasfollows:故此，本协议双方现此约定如下：
1.Termination第一条协议的终止“EffectiveDate”).本协议双方约定从日起终止所述经销商合同（生效日期）。
1.2Eachparty’srightsandobligationsundertheDealerContractshallceaseimmediatelyontermination,exceptfortheclauseswhichareexpressedtosurvivetermination.TheDealerherebyrenouncesandsurrendersanyandallrightsgrantedpursuanttoorinrelationtoDealerContract.
1.3TheterminationoftheDealerContractdoesnotofitselfgiverisetoanyliabilityonthepartofVGICtopayanycompensationtotheDealer,includingbutnotlimitedto,forlossofprofitsorgoodwill.
所述经销商合同的终止不会产生大众公司向经销商给予任何补偿的义务，包括但不限于利润和商誉的损失。
1.4TheDealerherebywaives,releasesandforeverdischargesVGIC,VGIC’semployeesandaffiliates,andanyreplacingdealershipappointedbyVGICagainstanyactions,proceedings,claims,demands,costsandexpenseswhichtheDealermaynowhaveorwouldhavehadfortheterminationoftheDealerContract,includingbutnotlimitedtoanyapplicablerightsuponterminationofagreementsithasmayhavehadundertheDealerContractoranyapplicablelaw.经销商现此放弃、免除并永远解除大众公司、大众公司的雇员和附属公司、大众公司指定的任何替代经销商就经销商针对所述经销商合同的终止可能享有的、将会享有的任何起诉、诉讼程序、索赔、权利主张、花费和开支而应当承担的责任，包括但不限于所述经销商合同终止时经销商依据任何适用的法律而享有的、可能享有的任何适用权利。
1.5TheDealerbyexecutingthisAgreement,forandonbehalfofDealerandallpersonsandentitieswhoatpresent,inthepastorinthefuturemayhave,havehadormayhereafterhavealegalorbeneficialownershiporotherinterestinDealer,andtheirrespectiveheirs,executors,administrators,successorsandassigns(collectivelythe“Releasors”),herebyagreestoanddoesherebyunconditionally,irrevocablyandforevervoluntarilyterminateandsurrendertoVGIC,asoftheEffectiveDate,theDealerContractandanyotheragreementsrelatingtothesaleoftheLamborghinibrandproductsandwaives,terminatesandsurrenderstoVGICanyandrightsarisingoutorrelatingtotheDealerContractorinconnectionwiththeDealerContract,including,withoutlimitation,anyandallrights,ifany,toacontinuation,extensionorrenewaloftheDealerContractoranyrelatedbusinessrelationshipsbetweenVGICandtheDealeroranyoftheotherReleasorsaftertheEffectiveDate,whichthey,oranyofthem,maynoworhereafterhaveoracquire.
1.6ThepartiesheretointendthatthisAgreementconstituteageneralreleaseofallclaims,demands,actions,causesofaction,whetherknownorunknown,suspectedorunsuspected,thattheDealerand/oranyoftheotherReleasorshad,mayhaveormayclaimtohavetotheEffectiveDate.
本协议双方约定：本协议构成了全面免除，免除了生效日期之前经销商和/或其它任何权利放弃人享有的、可能享有的或者可能会声称享有的任何索赔、权利主张、起诉和诉因，无论是明确的还是不明确的，无论是疑似的还是非疑似的。
2.ObligationsFollowingSigningofThisAgreement第二条签署本协议产生的义务
2.1FollowingthesigningofthisAgreement,bothpartiesshallmakebesteffortstocooperatewitheachother,includingprovidingandexecutingallnecessarydocumentsandmaterialsand
takingallnecessaryactions,toensureanuninterruptedsupplyofpartsandaftersalesservicesasrequiredbycustomersafterthedateofterminationoftheDealerContract.
本协议签署后，协议双方应当尽最大努力展开合作，包括但不限于提供并签署所有必要的文件和材料并采取必要的措施，确保所述经销商合同终止后，能够按照客户的要求不间断地提供零部件和售后服务。
2.2FollowingthesigningofthisAgreement,theDealerundertakestoVGICthatitshall:本协议一经签署，经销商即向大众公司保证：经销商应当
(a)Immediatelyinformitscustomers(especiallyownersofvehiclessoldbytheDealer)oftheDealer’sclosureusingthemutuallyagreedtemplateattachedtothisAgreement,andobtainthecustomers’consenttothetransferofthecustomer’sinformationtoVGICandVGIC’suseofsuchinformationsubjecttotheapplicablelawsandregulationsofPRC;
使用本协议随附的且双方一致同意的方式，把经销商和大众公司之间签订的所述经销商合同的终止情况立即告知经销商自己的客户（特别是从经销商处购买了汽车的车主），取得客户同意后，把客户信息移交给大众公司，大众公司应当按照适用的中华人民共和国的法律和法规来使用该种信息。
(b)Immediatelyexecutethenecessarycontractsforthetransferofitsrepair,returnandreplacementobligationspursuanttotheapplicablelawsandregulationsandtheDealer’ssalescontractsforvehiclessoldbytheDealertoamutuallyagreedaffiliate;
立即根据适用的法律和法规以及经销商就销售给双方一致同意的附属公司的车辆而签订的销售合同，为维修义务、产品退回义务和替换义务的让与而签署必要的合同。
(c)immediatelytransfer,andensureitsaffiliatedcompaniestransfer,toVGICorotherVolkswagenGroupcompaniesrespectively,withoutanyconsideration,thetrademarksregisteredinthePRCand/ortrademarkregistrationappliedinthePRC,whichbelongtoVGICorotherVolkswagenGroupcompanies,andanydomainnamesregisteredinthePRC,whichcontaintheLamborghinitrademarksornameofVGICorotherVolkswagenGroupcompanies;
立即向大众公司或者大众集团的其它公司让与全部归大众公司所有的或者大众集团其它公司所有的、在中华人民共和国注册的商标和/或在中华人民共和国申请的商标注册，以及包含兰博基尼商标或者大众公司名称或者其它大众集团公司名称的任何域名，不得收取任何对价，并确保经销商自己的附属公司也这样做。
(d)immediatelyceaseusing,andensureitssubsidiariesandbranches(ifany)toceaseusing,theLamborghinitrademarksand“Lamborghini”oritsChinesetranslationsinitscorporatename;立即停止使用并确保其子公司和分公司（如果有的话）停止在其公司名称中使用兰博基尼商标、“Lamborghini”和Lamborghini的汉语译文“兰博基尼”;
(e)notapply,andensureitsaffiliatedcompaniesnotapply,directlyorindirectly,forregistrationofanytrademarksornames(includinganyChinesetranslations)belongingtoVGICorotherVolkswagenGroupcompanies.Otherwise,VGICorotherVolkswagenGroupcompaniesareentitledtorequestsuchtrademarksand/ornamestransferredtoVGICorotherVolkswagenGroupcompanies,freeofcharge,atanytime;
(f)immediatelyremoveandreturntoVGIC(orotherwisedisposeofasVGICmayinstruct)allsignboardandsymbolscontainingtheLamborghinitrademarks;and
立即移除包含兰博基尼商标的任何招牌和标识并归还给大众公司（或者按照大众公司的指示处理这些招牌和标识）；以及
(g)immediatelyreturntoVGICorotherwisedisposeofasVGICmayinstructallequipmentandtools,samples,instructionbooks,technicalpamphlets,catalogues,advertisingmaterials,specificationsandothermaterials,documentsorpaperswhatsoeverprovidedbyVGICtotheDealerandrelatingtoVGIC’sbusiness(otherthancorrespondencewhichhaspassedbetweentheparties)whichtheDealermayhaveinitspossessionorunderitscontrol.
大众公司同意把元人民币归还给经销商，这个金额包括：
’sdealershipaccount;and元人民币的经销商经销账户余额；以及
banktransferwithin30workingdaysfromtheexecutionofthisAgreementbytheparties.元人民币的依据本协议规定归还招牌和标识的费用，本协议签署后三十天内，通过银行电子转账支付经销商。
2.4Within30daysfollowingthesigningofthisAgreement,theDealershouldapplytoderegisteritselfwiththerelevantgovernmentauthoritiesasanauthorizeddealerofLamborghinibrandproducts,includingrevisingitsbusinessscopeshownonthebusinesslicenseaccordingly.
2.5TheDealeragreestomaintainstrictconfidentialityregardingallVGIC’sconfidentialinformation,includinganydata,information,plans,drawings,specifications,documents,know-how,physicalobjects(suchasmodels,partsordevices)ormaterialsoforrelatingtotheproduction,engineering,technology,financing,marketingofVolkswagenandLamborghiniproducts,personnelofVGIC,theirparentcorporationortheirsubsidiariesoraffiliates,ifsuchconfidentialinformationisnotknownoravailabletothepublic(“ConfidentialInformation”).TheDealerundertakesthatitwillnot,atanytime,reveal,communicate,divulgeormakeavailableanyConfidentialInformationtoanyone,otherthantosuchextentandtosuchpersonsasmayspecificallybedesignatedbyVGICinwriting.

3.TherentoftheDEMISEDPREMISESshallbeUSD3,300/-(USdollarsThreeThousandandThreehundredOnly)permonth
4.TheLESSORherebyacknowledgesreceiptofthesumofUSD.19,800/-(USdollarsNineteenThousandandeightHundredOnly)permonth.
5.ItisherebyagreedbetweenthepartiesthattheLESSEEshallpaytheaforesaidmonthlyrentUSD.3,300/-(USdollarsThreeThousandandThreehundredOnly)asthemonthlyrentaladvanceby20thofeachcalendarmonthforwhichifisdueaftercompletionofadvancerentperiodendingon15thJuly20xx.

THELESSEEHERBYCONVENANTSWITHLESSORASFOLLOWING:
1.TopaytotheLESSORtherentherebyreservedinthemannerbeforementioned.
2.ThattheLESSEEshallnotatanytimeduringtheterms,withouttheconsentinwritingoftheLESSOR,pulldown,damagesormakeanystructurealterationstotheDEMISEDPREMESESprovidedalways,theLESSEEshallhavegowriteinstallanyfixturesandfittingsexcludingair-conditionersintheDEMISEDPREMESES,todetachandrepossessthesames
ubjecttotherestorationoftheDEMISEDPREMESEStotheiroriginalstateathiscost(reasonablewearandtearexcepted)ontheexpiryofthisleaseoranyrenewalhereof.
3.TousetheDEMISESPREMISESforresidentialpurposeandwouldnotbeusedforacommercialpurposetheDEMISESPREMISEwouldnotbeusedoccupiedbyMr.****Andfamily.
4.Nottosubletthewholeoranypartofthepremises.
5.TopayregularlythebillsforElectricity,Gas,WaterandTelephonechargesinrespectoftheDEMISEDPREMISES.AcopyofallthepaidutilitybillbeforwardedtotheLESSOReverythreemonthregularly.Incaseofdisconnectionofanyfacilityduetonon-payment,LESSEEwillberesponsibletogetthemrestoredandpaythesame.AllduesmustbeclearedbeforetheexpiryoftheLEASE.
6.TheLESSEEshallkeepandmaintainthesaidpremisesingoodandtenantableconditionsduringthetenureofthelease.
THELESSORHEREBYCONVENANTSWITHTHELESSEEASFOLLOWING:-
1.Topayallexistingandfuturerate,taxesassessmentsandotherchargesofapublicnaturewhetherimposebytheMunicipality,GovernmentoranyotherauthorityinrespectofDEMISEDPREMISES.
2.NottoerectorsetupabuildingorstructureontheDEMISESPREMISESnortoaddtoanyexistingbuildingorstructureduringtheperiodofleaseoranyrenewalwithoutthewrittenconsentoftheLESSEE.
ITISHEREBYDECLEARANDMUTURALLYAGREEDBETWEENTHELESSORANDLESSEEANSFOLLWING:=
1.TheLESSEEandtheLESSORshallhavetherightandoptiontoterminatethisLeaseatanytimeonlyaftertheexpiryoftheleaseperiodi.e.,24months,providedtheygiveONE(1)monthnoticeinadvancetoeitheroftheparties.

13．装运条款：
□FOB
卖方应在合同规定的装运日期前30天，以电报/电传/传真通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物超过船舷并脱离吊钩以前一切费用和风险由卖方负担。

14．装运通知

15．质量保证：
Qualityguarantee:
货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_____个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。
ThesellersshallguaranteethatthecommoditymustbeinconformitywiththequalityandspecificationsspecifiedinthiscontractandLetterofQualityGuarantee.Theguaranteeperiodshallbemonthsafterthearrivalofthegoodsattheportofdestination,andduringtheperiodthesellersshallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer.
16．商品检验：卖方须在装运前_____日委托检验机构对合同之货物进行检验并出具检验证书，货到目的港后，由买方委托____检验机构进行复检。

17．索赔
Claims:
如经中国_____检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。
ThebuyersshalllodgeclaimsagainstthesellersbasedontheInspectionCertificateissuedbyChinaInspectionAuthorityDaysafterthearrivalofthegoodsatthedestination,ifthegoodsarefoundtobedamaged,missingorthespecifications,quantity,andqualitynotinconformitywiththosespecifiedinthiscontractandLetterofQualityGuarantee.Incasetheclaimperiodabovespecifiedisnotinconformitywiththequalityguaranteeperiod,duringthequalityguaranteeperiod,thebuyershaverightstolodgeclaimsagainstthesellersconcerningthequalityguarantee.
18．延期交货违约金
Latedeliveryandpenalty
除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。
Ifthesellersfailtomakedeliveryontimeasstipulatedinthecontract,withexceptionofForceMajeure,thebuyersshallagreetopostponethedeliveryonconditionsthatthesellersagreetoamendtheclausesoftheL/Candpayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,however,shallnotexceed5%ofthetotalvalueofthegoods.Therateofpenaltyischargedat0.5%foreverysevendays,iflessthatsevendays.Incase,thepaymentisnotmadethroughL/C,thesellersshallpaythepenaltycountedasabovetothebuyersassoonaspossible.
19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及
时通知买方。
ForceMajeure:Thesellersshallnotholdanyresponsibilityforpartialortotalnon-performanceofthiscontractduetoForceMajeure.Butthesellersshalladvisethebuyersontimesofsuchoccurrence.
20．争议之解决方式：
Disputessettlement:
□任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

21．法律适用

本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。
ItwillbegovernedbythelawofthePeople’sRepublicofChinaunderthecircumstancesthatthecontractissingedorthegoodswhilethedisputesarisingareinthePeople’sRepublicofChinaorthedeffendantisChineselegalperson,otherwiseitisgovernedbyUnitedNationsConventiononContractfortheInternationalSaleofGoods.
22．本合同使用的FOB、CFR、CIF、DDU术语系根据国际商会《Incoterms1990》
23．文字：本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。

(14)品质与数量、重量的异义与索赔：Quality/QuantityDiscrepancyandClaim：
LASTSHIPMENT:ifthelatedeliveryiscausedbythebuyer,thebuyershallbearthe
responsibility.Ifthedelayhasbeingmademorethan45daysfromthesigningoftheSalesContracthereof,thebuyershallpay3%oftotalamounteachday,andifthedelayismorethan6months,theSellerhastherighttodisposethedownpaymentandthegoods.IfthelatedeliveryiscausedbytheSeller,theSellershallinformtheBuyerinadvanceandgetconfirmationfromtheBuyer,andtherelatedexpenseshallbebornbytheSeller.
(16)质量/数量异议：对于质量方面的异议，买方必须在货物抵达目的港后30天之类提出：对于数量方面的异议，买方必须在货物抵达目的港后15天之内提出。对由于保险公司、运输公司、其他运输机构或邮局的原因所造成的货物差异，卖方不负任何责任。QUALITY/QUANTITYDISCREPANCY:Incaseofqualitydiscrepancy,claimshallbefiledbytheBuyerwithin30daysafterthearrivalofthegoodsatportofdestination;whileforquantitydiscrepancy,claimshallbefiledbythebuyerwithin15daysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliable,foranydiscrepancyofgoodsshippedduetocausesforwhichtheInsuranceCompany,ShippingCompany,othertransportationorganizationorPostOfficeareliable.
(17)不可抗力：卖方对由于下列原因而导致不能或暂时不能履行全部或部分合同义务的，不负责任：水灾、火灾、地震、干旱、战争或其他任何在签约时卖方不能预料、无法控制且不能避免和克服的事件。但卖方因尽快地将所发生的事件通知对方，并应在事件发生后15天内将有关机构出具的不可抗力事件的.证明寄交对方。如果不可抗力事件之影响超过120天，双方应协商合同继续履行或终止履行的事宜。
FORCEMAJEURE:SellershallnotberesponsibleforfailureordelayinperformanceofentireorportionoftheseSaleContractobligationsinconsequenceofForceMajeureincidents:flood,fire,earthquake,drought,war,oranyothermatterscouldn’tbeforeseenorcontrolledorcouldn’tbeavoided.ButSellershallinformtheincidentstoBuyerimmediately,andshalldeliverythecertificateofForceMajeureincidentsissuedbyrelatedorganizationwithin15daysaftertheincidentshappened.Iftheincidentsinfluencemorethan120days,bothpartiesshallnegotiatetodecidewhethertoexecuteorterminatetheSalesContract.
(18)仲裁：因履行本合同所发生的一切争议，双方应友好协商解决，如协商仍不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费应由败诉一方承担，但仲裁委员会另有裁定的除外。在仲裁期间，除仲裁部分之外的其他合同条款应继续执行。
ARBITRATION:Alldisputesacrossfromtheexecutionof,orinconnectionwiththisSalesContractshallbesettledfriendlythroughnegotiation,incasenosettlementcanbereached,thecaseshallthenbesubmittedtoChinaInternationalEconomicand
TradeArbitrationCommission,Beijingforarbitrationinaccordancewithitsprovisionalrulesofprocedure.TheresultofarbitrationshallbebornbythelosingpartyexceptfortheconditiontheCommissionhasotherjudgment.Duringthearbitrationperiod,clausesbesideofthearbitratedpartsshallbeexecuted.
(19)本合同为中英文对应，一式两份，买卖双方各执一份；合同自卖方签字盖章、买方签字后生效（传真件以及扫描具有正版相等法律效应）。
