9.协议有效期ValidityofAgreement
本协议经双方签字后生效，有效期为**天，自**至**.若一方希望延长本协议，则须在本协议期满前1个月书面通知另一方，经双方协商决定。

五、甲方的义务ObligationsofPartyA:

6.如在租赁期内，租赁房屋发生所有权全部或部分转移、和其他影响乙方权益的事情时，甲方应保证所有权人或其他影响乙方权益的第三者，能继续遵守本合同所有条款。如乙方于本合同下的.权益受此等所有权人或第三者所影响或损害，甲方须负责补偿乙方的所有损失、损害、支出及费用。

2.乙方经甲方事先书面同意，可在承租用房内进行装修及添置设备。租赁期满后恢复原状或可正常出租状态（正常损耗除外），并承担其费用，经甲方验收认可后归还甲方。乙方在租赁结束交房时应保持房屋清洁。

七、违约处理BreachofAgreement:

八、不可抗力ForceMajeure:

十、争议的解决DisputeResolution:

5.ItisherebyagreedbetweenthepartiesthattheLESSEEshallpaytheaforesaidmonthlyrentUSD.3,300/-(USdollarsThreeThousandandThreehundredOnly)asthemonthlyrentaladvanceby20thofeachcalendarmonthforwhichifisdueaftercompletionofadvancerentperiodendingon15thJuly20xx.

1.TopaytotheLESSORtherentherebyreservedinthemannerbeforementioned.
2.ThattheLESSEEshallnotatanytimeduringtheterms,withouttheconsentinwritingoftheLESSOR,pulldown,damagesormakeanystructurealterationstotheDEMISEDPREMESESprovidedalways,theLESSEEshallhavegowriteinstallanyfixturesandfittingsexcludingair-conditionersintheDEMISEDPREMESES,todetachandrepossessthesames
ubjecttotherestorationoftheDEMISEDPREMESEStotheiroriginalstateathiscost(reasonablewearandtearexcepted)ontheexpiryofthisleaseoranyrenewalhereof.
3.TousetheDEMISESPREMISESforresidentialpurposeandwouldnotbeusedforacommercialpurposetheDEMISESPREMISEwouldnotbeusedoccupiedbyMr.****Andfamily.
4.Nottosubletthewholeoranypartofthepremises.
5.TopayregularlythebillsforElectricity,Gas,WaterandTelephonechargesinrespectoftheDEMISEDPREMISES.AcopyofallthepaidutilitybillbeforwardedtotheLESSOReverythreemonthregularly.Incaseofdisconnectionofanyfacilityduetonon-payment,LESSEEwillberesponsibletogetthemrestoredandpaythesame.AllduesmustbeclearedbeforetheexpiryoftheLEASE.
6.TheLESSEEshallkeepandmaintainthesaidpremisesingoodandtenantableconditionsduringthetenureofthelease.

1.Topayallexistingandfuturerate,taxesassessmentsandotherchargesofapublicnaturewhetherimposebytheMunicipality,GovernmentoranyotherauthorityinrespectofDEMISEDPREMISES.
2.NottoerectorsetupabuildingorstructureontheDEMISESPREMISESnortoaddtoanyexistingbuildingorstructureduringtheperiodofleaseoranyrenewalwithoutthewrittenconsentoftheLESSEE.
ITISHEREBYDECLEARANDMUTURALLYAGREEDBETWEENTHELESSORANDLESSEEANSFOLLWING:=

3.委任：Appointment
甲方指定乙方为其在中国的全权采购代理，采购甲方指定的烯烃芳烃加氢和异构化催化剂，瓦斯油（AGO+VGO）脱硫催化剂，石脑油加氢催化剂（详见产品采购合同）。

4.双方的职责：Dutiesoftwoparties:
(1)甲方所需的采购业务应提交给乙方详细的采购产品信息，比如材质、尺寸、数量、品质等具体要求。PartyAshallprovidealltheinformationofthepurchasingproductstoPartyB,suchasmaterial,size,quantity,qualityandotherconcreterequirements.
乙方向甲方提供采购产品客户信息，代理信息，代理租船顾问业务等。负责落实甲方采购产品资源，渠道和谈成供货意向一并介绍给甲方。
PartyBshallprovidePartyAcustomers’informationandagentinformation,consultancyserviceonagentschartering.Besides,heshallfindandconfirmtheproductsresourcesandsupplychannel,thenintroducetheseinformationtotallytoPartyA.
(2)因甲方购买的.产品涉及专利产权和产品生产者指定代理的情况，乙方负责促成甲方与产品生产者或产品生产者代理商之间签署采购协议，实现贸易，并负责为甲方对采购产品取样、验货、出货等的环节进行服务。
PartyBshallhelpandfacilitatePartyAsignthePurchasingAgreementwiththesuppliersoragents,alsoshouldprovideservicesinmanyaspects,suchassampling,inspection,deliveryandothermatters.
5.货款的支付方式：Paymentofgoods
甲方购买的产品涉及专利产权或产品生产者指定代理的情况，甲方与产品生产者或产品生产者代理商之间直接签署采购协议，货款支付方式由协议双方协商达成一致。
PartyAwillsignPurchasingAgreementdirectlywithproducersoritsagents,andthe
paymenttermofgoodswillbenegotiatedandagreedbyPartyAandtheSeller.
ForthePurchasingAgent'sservices,thePartyAshallpaythePartyBthefollowingcommissionpercentage:(1-5)%ofPartB’spurchasingaggregateamountoftheinvoicevalue,simultaneouslywithinthesamebankingdayasthepartyAmakespaymenttotheSeller.CommissionshouldberemittedtoPartyB’sdesignatedbankaccount.IfthePartyAmakesadvancepaymentstotheSellerorpaymentbyinstallments,heshouldpaythecommissiontoPartyBsimultaneouslywiththefirstpaymenthemadetotheSeller.
7.违约责任：
(1)甲方若不按本合同第6条的执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5‰/天。

8.协议的修改：Modification
此协议书只有经双方共同签字后才能作修改，
ThisAgreementmaynotbemodifiedexceptbyamendmentreducedtowritingandsignedbybothParties.
9.不可抗力：ForceMajeure
由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。
Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnot
bepredicted,controlled,avoidedorovercomebytherelativeparty.However,theparty
affectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedbytherelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.
10.仲裁：Arbitration
因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会(北京)，依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。
Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthroughnegotiation,thecaseshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitration
Commission(Beijing)andtherulesofthisCommissionshallbeapplied.Theawardofthearbitrationshallbefinalandbindinguponbothparties.Arbitrationfeesshallbebornebythelosingparty,unlessotherwiseawarded.
11.协议有效期：ValidityofAgreement
本协议经有关双方如期签署后生效，有效期为年，从20xx年08月日到年月日。

12.协议的终止：Termination
