管辖法条款（GoverningLaw）
合同准据法也称适用法（ApplicableLaw）或管辖法，是指当事人选择或被指定适用于合同的法律或被认为最适合于控制特定争执点的标准法律。
比较简略的准据法条款通常包括三方面内容：
准据法的选择+冲突规范的排除+管辖法院的约定
1.避免只写“Thiscontractisgovernedbythelawsof...”，可在句首加上“Theformation,validity,constructionandperformanceof”,明确合同的成立及履行是否适用选定的准据法
2.尽量避免同一合同不同条款适用不同的准据法，除非是特别独立的某项条款
3.为避免冲突规范将选定的准据法指向其他法律，准据法中的冲突规范必须予以排除
4.依惯例，程序法应当适用法院地法

管辖法院的约定：
InanyactionbetweenanyofthepartiesarisingoutoforrelatingtothisagreementoranyofthetransactionscontemplatedbythisAgreement,eachofthepartiesirrevocablyandunconditionallyconsentsandsubmitstotheexclusive/non-exclusivejurisdictionandvenueofthestateandfederal/districtcourtslocatedin[nameofstate].
中文：本协议受[司法辖区]之法律管辖，并依其进行解释，但可能导致适用另一司法辖区法律的上述该等法律除外。位于该[司法辖区]的联邦法院或州法院对本协议项下的任何争议均由管辖权。
英文：ThisAgreementshallbeinterpretedandconstruedaccordingto,andgovernedby,thelawsof[],excludinganysuchlawsthatmightdirecttheapplicationofthelawsofanotherjurisdiction.Thefederalorstatecourtslocatedin[]shallhavejurisdictiontohearanydisputeunderthisAgreement.
