PursuanttothestipulationofArticle29oftheLawyerLawofthePeople’sRepublicofChinaandforthepurposeofretainerofthelawyersofPartyB(“LegalCounsel”),bothpartiesagreetoenterintoandbesubjecttothefollowingprovisions:
1．PartyAherebyiswillingtoretainthelawyersofPartyBtobeitsAnnualLegalCounseltosatisfyitsbusinessneeds.PartyBherebydecidestoaccepttherequestofretainingfromPartyA.Inconsiderationofmutualcovenantsandagreements,PartyBappointsthefollowinglawyerstobetheLegalCounselofPartyA:

1.1ShouldthesaidLegalCounselfailtoperformthedutiescontainedherein,,PartyBshalldesignateanothercompetentlawyertoperformtheduties.
1.2ShouldthelawyerappointedbyPartyBbedeemedincompetentasLegalCounselbyPartyA,PartyAshallhavetherighttorequestPartyBforappointmentofanotherlawyer.
根据《中华人民共和国律师法》第二十九条的规定，为聘请乙方律师（下称“法律顾问”），甲乙双方同意并遵守以下条款：
一、甲方为满足其业务需要，特聘请乙方律师担任其年度法律顾问。乙方确定接受甲方的聘请请求，经双方协商一致，乙方指派以下律师担任甲方的法律顾问：

1.1如上述法律顾问不能履行本协议约定的职责，乙方应另行指派有能力的律师履行该职责。
1.2如甲方认为乙方指派的律师不胜任法律顾问工作，甲方有权要求乙方另行指派律师。
2．ThesaidLegalCounselshall,attherequestofPartyAatanytimeoftheeffectiveperiodofthisContract,providethefollowinglegalservicestoPartyAunderthejurisdictionofthePeople’sRepublicofChinadomesticallyandinternationally:
2.上述法律顾问在本合同有效期内的任何时候，应甲方的要求，在中华人民共和国管辖的国内和国际范围内，为甲方提供下列法律服务：
2.1Toprovideoralor/andwrittenlegaladviceonlegalissuesconcerningthebusinessofPartyA;
2.1就与甲方业务有关的法律问题提供口头或/和书面法律意见；
2.2Toreview,reviseor/anddraftlegaldocumentsfortheinterestsandbenefitsofPartyA.Legaldocumentsinclude,butnotlimitedto,agreements,contracts,internaldecisions,managementrules,formalletters,applicationsorreportstoPartyA’sbuyers,suppliersandgovernmentalagencies;
2.2为甲方的利益审查、修改或/和起草法律文件。法律文件包括但不限于协议、合同、内部决定、管理规定、正式信函、向甲方的买方、供应商和政府机构提交的申请或报告；
2.3Todesignorrevisesystematically,accordingtothelawsandregulationsofChinapromulgatedinnationallevelandprovinciallevels,policiesandrulesofemploymentmanagement,procurementandsalesmanagement,productsandequipmentimportandexportmanagement,financialandaccountingmanagement,operationsmanagement,productafter-sale-serviceandproductliabilitymanagement,intellectualpropertyprotectionincludingcopyrights,patent,know-how,businesssecrets,trademarks,businessnames,domainnames,etc;
2.4Toinitiatealegalaction(s)orresponsetoalegalaction(s)inChina’slegalframework,includingadministrative,arbitralandjudicialprocedures,attenddisputesmediation,arbitrationandlitigation,andenforcefinaloreffectivedecisions,arbitralawards,judicialrulingsandjudgments;
2.4在中国法律框架内提起法律诉讼或应诉，包括行政、仲裁和司法程序，参加争议调解、仲裁和诉讼，执行终局或生效裁决、仲裁裁决、司法裁定和判决；
2.5ToprotectthelawfulrightsandinterestsofthelegalrepresentativeandemployeesofPartyAinChina;
2.5维护甲方在华法定代表人及员工的合法权益；
2.6ToconductbasiclegalknowledgetrainingandeducationonitsemployeesatreasonableintervalspertherequestofPartyAinordertoincreaselegalawarenessofitsemployeesintheirdailybusinessactivities;
2.7Toparticipateinthebusinessactivities,suchasfinancing,investment,leasing,assignmentofassetsandsharesandreformation,invitationforpublicbidding,openingofbidandwitnessesasPartyA’srepresentativeorlegalcounsel;
2.7作为甲方代表或法律顾问参与融资、投资、租赁、资产和股权转让及改制、公开招标、开标、见证等经营活动；
2.8Toissuelawyer’sletterstotransactionparties,governmentalagenciesorotherorganizationstoprotectPartyA’srights,interestsandbenefits;
2.8向交易各方、政府机构或其他组织出具律师函，维护甲方权益和利益；
2.9ToundertakespecificinvestigationsandprovidetheinvestigationreportstoPartyA;
2.9承担具体调查工作，并向甲方提供调查报告；
2.10TocarryoutvariousregistrationproceduresinChinaforandonbehalfofPartyA;
2.10为甲方并代表甲方在中国办理各种注册手续；
2.11TohandleotherlegalaffairsentrustedbyPartyA.
2.11办理甲方委托的其他法律事务。
3．ThelawyerappointedbyPartyBtobetheLegalCounselforPartyAshallcarryoutthedutiesandprotectthelawfulrightsandinterestsofPartyAwithprofessionalskillanddiligence.
3、乙方指派担任甲方法律顾问的律师，应当以专业的技能和勤勉尽责的精神履行职责，维护甲方的合法权益。
4．PursuanttotheChargingStandardofPracticingLawyer,ithasbeenagreedthatPartyAshallpayinalumpsumtoPartyBAnnualFeeattheamountofRMB￥YuanforlegalservicescoveredinArticle2(excludingArticles)ofthisContractwithinthree(3)daysfromthedateonwhichthisContractcomesintoforce.
4、根据《执业律师收费标准》，同意甲方在本合同生效之日起三（3）日内一次性向乙方支付本合同第二条（不含本条）所涉及的法律服务年费人民币元整。

6．Withinthevaliditytermofthiscontract,wherealawyerisneededwhenPartyAisinvolvedinlawsuit(s)suchaslitigation,mediationandarbitration,thelawyersofPartyBshallbepreferredbyPartyAasattorney-in-fact,andaseparatecontractshallbesignedbybothpartiesforthesaidpurpose.
6、在本合同有效期内，甲方涉及诉讼、调解、仲裁等法律事务需要聘请律师的，甲方应优先选择乙方律师作为委托代理人，并由甲乙双方另行签订委托合同。
7．TheLegalCounselshallworkinthefollowingway:
7、法律顾问的工作方式如下：
7.1Irregularly,theLegalCounselshallworkwithinoroutoftheofficeofPartyAatanytimeatPartyA’srequest.WhentheLegalCounsel’sserviceisneededbyPartyA,exceptforacaseofemergencyonedayadvancenoticeshallbegiventotheLegalCounselbyPartyAthroughtelephone,faxoremail.
7.2LegalCounselshallfinishtheirpaperworkforPartyAmainlyinChineseorEnglish.
7.2法律顾问应主要以中文或英文为甲方完成文书工作。
8．PartyAshallprovidetheLegalCounselwithrelevantmaterialsanddocumentsforthelattertoperformhisduties,andensurethecredibilityandintegralityoftheaforesaidmaterialsanddocuments,otherwisePartyAshallbeheldresponsibleforallconsequencescausedthereby.
9．TheLegalCounselshallkeepinstrictconfidentialityPartyA’sproprietarytradesecrets,documentandmaterialsandotherlegalinformationobtainedand/oravailabletohimduringhisexecutionofjobduties.
9、法律顾问对其在履行工作职责过程中获得和/或掌握的甲方专有商业秘密、文件资料及其他法律信息应严格保密。
10．PartyAshallfacilitatetheLegalCounselwithallconditionsandconveniencenecessaryforthelattertofulfillhistask.Thetravelexpenses,accommodationfeesandevictionallowanceincaseoftheLegalCounsel’sbusinesstriptocitiesotherthanGuangzhouneededand/orrequestedbyPartyAshallbebornebyPartyA.
10．甲方应为法律顾问完成任务提供一切必要的条件和便利。法律顾问因工作需要或甲方要求到广州以外的城市出差，其差旅费、住宿费、搬迁费由甲方承担。
11．Thetermofthiscontractshallcoveroneyear,commencingfromto.ProvidedPartyAdeemsitnecessarytorenewretaineroftheLegalCounselwithinonemonthbeforeexpirationofthiscontract,bothpartiesshallhaveanotheragreement.
十一、本合同期限为一年，自年月日起至年月日止。本合同期满前一个月内，如甲方认为需要续聘法律顾问的，双方另行协商。
12．WherePartyAbreachesthecontractandcancelsthecontractwithoutjustifications,thefeespaidbyPartyAwillnotberefunded,wherePartyBfailstocarryoutthecontractwithoutjustifications,allthefeespaidbyPartyAwillbefullyrefundedtoPartyA.
12、甲方无故违约解除合同的，甲方已支付的费用不予退还，乙方无故不履行合同的，甲方已支付的费用全部退还甲方。
13．ThisContractisgovernedbythelawsofthePeople’sRepublicofChina.AlldisputesarisingfromthisContractshallbesettledthroughfriendlyconsultations.Incasenosettlementcanbereached,thecaseindisputeshallthenbesubmittedtoGuangzhouArbitrationCommitteeaccordancewithitsthenprevailingproceduresandrules.TheawardmadebythesaidCommissionshallbefinalandbindinguponbothpartieshereto.Thelosingpartyshallbearallthearbitrationfees.
13、本合同适用中华人民共和国法律。因本合同发生的一切争议，双方应友好协商解决。如协商不成，争议案件应提交广州仲裁委员会按其当时的程序和规则进行仲裁。该委员会的裁决为终局裁决，对合同双方均有约束力。败诉方应承担所有仲裁费用。
14．ThisContracthasbeenexecutedinthreeoriginalswitheachpartyholdingonecopyofequalauthenticity.ThisContractbecomesimmediatelyeffectivesignature/sealbybothparties.
