15．质量保证：
Qualityguarantee:
货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_____个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。

Claims:
如经中国_____检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。

18．延期交货违约金
Latedeliveryandpenalty
除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及
时通知买方。

20．争议之解决方式：
Disputessettlement:

九、乙方的'责任：

9.3乙方应按本合同的约定合法使用出租房屋，不得擅自改变使用性质，不应存放中华人民共和国法律下所禁止的危险物品，如因此发生损害，乙方应承担全部责任。

十一、适用法律：

2.定义Definition
在正文（Habendum）部分，通常第一章为定义（Definitions）部分。
定义条款即对合同中涉及的术语及名词作出限定、解释的条款。它可以散见于合同各个部分，但对于一些大型的、重要的合同，通常将其置于第一章。
I.常见的.定义语句常用mean,referto,beconstruedas,include等来表达。如：
1."Territory"meanstheUnitedStatesofAmerica.“销售地区”是指美利坚合众国。
2.“Commencementdate”shallmeanthedateofsigningthisagreementbythelastsigningpartyhereto.
“协议生效日”是指本“协议”最后签字的一方签署本“协议”的日期。
3.The“agreement”hereinreferredtoshallmeanthisagreementofagencybyentrustment.
“协议”在这里是指本委托代理协议。
4.“Code”shallrefertothecurrentandapplicableInternalRevenueCode.
“法”是指当前可用的国内税收法。

引用法律规定理解为引用其本身外，还包括其修订、修正或重新实施案。
6."Expenses"includecosts,chargesandexpensesofeverydescription.“费用”包括各种形式的金钱支出。
II.还有一类特殊的定义语句，即对于「单、复数」及「阴、阳性」名词的范围定义。通常都是用include来表达：

合同中的“股票”，包括单数与复数。
2."He"includes"he"and"she".
合同中的“他”，包括“他”与“她”。

III.定义语句中，有时需限定范围。而通常用得最多的是：“forthepurposeof”及“inrelationto”某概念的定义条款，如果适用范围仅限于合同的“特定部份”，可以用“forthepurposeof”来为定义条款起头。而如果定义条款是针对合同的“特定概念”，就用“inrelationto”来界定。如下例：

5.货款的支付方式：Paymentofgoods

9.不可抗力：ForceMajeure
由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

10.仲裁：Arbitration
因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会(北京)，依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。
