2.1遵守法律
Compliancewiththelaw
发包人在履行合同过程中应遵守法律，并保证设计人免于承担因发包人违反法律而引起的任何责任。
TheemployershallabidebythelawinperformanceofthecontractandensuretheDesignerexemptfromanyliabilityarisingfrombreachofthelawbytheemployer.
2.2发出开始设计通知
Issuanceofdesigncommencenotice
发包人应按第6.1款的约定向设计人发出开始设计通知。
Theemployershall,inaccordancewitharticle6.1,issueadesigncommencenoticetotheDesigner.
2.3办理证件和批件
Handlingcredentialsandapprovals
法律规定和（或）合同约定由发包人负责办理的工程建设项目必须履行的各类审批、核准或备案手续，发包人应当按时办理，设计人应给予必要的协助。
Allkindsofexaminationandapproval,ratifyorfilingformalitieswhichstipulatedbylawand/orcontractforengineeringconstructionprojectstobehandledbytheemployershouldbehandledontimebytheemployerwithnecessaryassistanceoftheDesigner.
法律规定和（或）合同约定由设计人负责办理的设计所需的证件和批件，发包人应给予必要的协助。
ThecertificatesandapprovalswhichrequiredforthedesigntobehandledbytheDesignerasstipulatedbylawand/orinthecontractshallbeaccordedthenecessaryassistanceofheemployer.
2.4支付合同价款
Paymentofcontractprice
发包人应按合同约定向设计人及时支付合同价款。
Theemployershall,inaccordancewithstipulationofthecontract,maketimelypaymentofthecontractpricetotheDesigner.
2.5提供设计资料
Provisionofdesigninformation
发包人应按第1.6.2项的约定向设计人提供设计资料。
Theemployershall,inaccordancewitharticle1.6.2,providedesigninformationtotheDesigner.
3.2监理人Supervisor
3.2.1发包人可以根据工程建设需要确定是否委托监理人进行设计监理。如果委托监理，则监理人享有合同约定的权力，其所发出的任何指示应视为已得到发包人的批准。监理人的监理范围、职责权限和总监理工程师信息，应在专用合同条款中指明。未经发包人批准，监理人无权修改合同。
Theemployermay,inaccordancewithneedsoftheprojectconstruction,determinewhethertoentrustthesupervisortoconductdesignsupervision.Ifthesupervisionisentrusted,thesupervisorhasthepowersstipulatedinthecontract,andanyinstructionsissuedbyhimshallbedeemedtohavebeenapprovedbytheemployer.Thescopeofsupervisor'ssupervision,dutiesandauthority,andchiefengineer’sinformationshallbespecifiedintheparticularconditionshereof.Thesupervisorhasnorighttomodifythecontractwithouttheapprovaloftheemployer.
3.2.2合同约定应由设计人承担的义务和责任，不因监理人对设计文件的审查或批准，以及为实施监理作出的指示等职务行为而减轻或解除。
TheobligationsandresponsibilitiestobebornebytheDesignerasstipulatedinthecontractshallnotbealleviatedordischargedduetothesupervisor'srevieworapprovalofthedesigndocumentsanddutiesorjobbehavioroftheinstructionsfortheimplementationofthesupervision.
3.3发包人的指示
Employer’sinstructions
3.3.1发包人应按合同约定向设计人发出指示，发包人的指示应盖有发包人单位章，并由发包人代表签字确认。
TheemployershallgiveinstructionstotheDesignerinaccordancewiththecontract,andtheemployer'sinstructionsshallbestampedwithitsunitsealandshallbesignedandconfirmedbytheemployer'srepresentative.
3.3.2设计人收到发包人作出的指示后应遵照执行。指示构成变更的，应按第11条执行。
TheDesignershallcomplywiththeinstructionsgivenbytheemployer.Iftheinstructionconstituteachangeoramendment,itshallbeimplementedinaccordancewitharticle11.
Designer'sobligations
4.1设计人的一般义务
GeneralobligationsofDesigner
4.1.1遵守法律
设计人在履行合同过程中应遵守法律，并保证发包人免于承担因设计人违反法律而引起的任何责任。
TheDesignershallabidebythelawinperformanceofthecontractandindemnifytheemployerfromanyliabilityarisingfromtheviolationofthelawbytheDesigner.
4.1.2依法纳税
Payingtaxesunderlaw
设计人应按有关法律规定纳税，应缴纳的税金（含增值税）包括在合同价格之中。
TheDesignershallpaytaxesinaccordancewithrelevantlawsandregulations,andthetaxes(includingVAT)payableshallbeincludedinthecontractprice.
4.1.3完成全部设计工作
Completionofalldesignwork
Thedesignershall,inaccordancewiththestipulationshereof,completealltheworkswhichstipulatedhereininadditiontorectify,improveandrepairanydefectintheworktomeetthecontractualpurpose.TheDesignershallprovidethedesigndocumentsandrelativeservices,etc.asrequiredbythecontract.
5.设计要求Designrequirements
5.1一般要求Generalrequirements
5.1.1发包人应当遵守法律和规范标准，不得以任何理由要求设计人违反法律和工程质量、安全标准进行设计服务，降低工程质量。
Theemployershallabidebythelaws,normsandstandards,andshallnotrequiretheDesignertoconductdesignservicesinviolationoflaws,engineeringqualityandsafetystandardsforanyreason,reducethequalityoftheproject.
5.1.2设计人应按照法律规定，以及国家、行业和地方的规范和标准完成设计工作，并应符合发包人要求。各项规范、标准和发包人要求之间如对同一内容的描述不一致时，应以描述更为严格的内容为准。
TheDesignershallcompletethedesignworkinaccordancewiththelaw,aswellasthecodesandstandardsofState,industryandlocal,andshallmeettherequirementsoftheemployer.Ifanyinconsistencybetweenthespecifications,standardsandrequirementsoftheemployer,thestricterdescriptionofthecontentshallprevail.
5.3设计范围Designscope
5.3.1本合同的设计范围包括工程范围、阶段范围和工作范围，具体设计范围应当根据三者之间的关联内容进行确定。
Thescopeofdesignhereofincludescopesoftheproject,phaseandworkingscope.Thescopeofspecificdesignshallbedeterminedbasedoncontentoftherelevancecontentsofthethreescopes.
5.3.2工程范围指所设计工程的建设内容，具体范围在专用合同条款中约定。
Scopeoftheprojectreferstoconstructioncontentofthedesignedproject,andspecificscopeisstipulatedinthestipulationofparticularconditionshereof.
5.3.3阶段范围指工程建设程序中的方案设计、初步设计、扩大初步（招标）设计、施工图设计等阶段中的一个或者多个阶段，具体范围在专用合同条款中约定。

5.3.4工作范围指编制设计文件、编制设计概算、预算、提供技术交底、施工配合、参加试车（试运行）、编制竣工图、竣工验收和发包人委托的其他服务中的一项或者多项工作，具体范围在专用合同条款中约定。
Thescopeofworkreferstooneormoreoftheworksinpreparationofdesigndocuments,preparationofdesignpreliminaryestimateandbudgetestimates,theprovisionoftechnicalsubmission,constructioncooperation,participationintrialrun(trialoperation),preparationofcompletiondrawings,completionacceptanceandotherservicesentrustedbytheemployer,thespecificscopeofwhichshallbestipulatedintheparticularconditions.
7.2设计人原因暂停设计
SuspensionofdesignduetotheDesigner
合同履行中发生下列情形之一的，发包人可向设计人发出通知暂停设计，由此造成费用的增加和（或）周期延误由设计人承担：

8.设计文件Designdocuments
8.1设计文件接收
Designdocumentreception
8.1.1发包人应当及时接收设计人提交的设计文件。如无正当理由拒收的，视为发包人已经接收设计文件。
TheemployershallpromptlyreceivethedesigndocumentssubmittedbytheDesigner.Ifrejectionofthedesigndocumentswithoutjustifiedreasons,itisdeemedtheemployerhasreceivedthedesigndocuments.
8.1.2发包人接收设计文件时，应向设计人出具文件签收凭证，凭证内容包括文件名称、文件内容、文件形式、份数、提交和接收日期、提交人与接收人的亲笔签名等。
Theemployershall,uponreceiptofthedesigndocuments,issuethedocumentreceiptcertificatetotheDesigner,thecontentsofthereceiptcertificateincludename,contentandformofthedocument,copiesnumber,thedateofsubmissionandreceiptinadditiontotheautographoftheauthorandtherecipient.
8.1.3设计文件提交的份数、内容、纸幅、装订格式、电子文件等要求，在专用合同条款中约定。
Therequirementsofcopiesnumber,contents,papersheets,bindingformat,electronicdocuments,etc.ofthesubmitteddesigndocumentsshallbestipulatedintheparticularconditionsofcontract.
8.2发包人审查设计文件

8.2.1发包人接收设计文件之后，可以自行或者组织专家会进行审查，设计人应当给予配合。审查标准应当符合法律、规范标准、合同约定和发包人要求等；审查的具体范围、明细内容和费用分担，在专用合同条款中约定。
Theemployermay,uponreceiptofthedesigndocuments,conductthereviewandexaminationbyitselforbyexpertmeeting,andtheDesignershallcooperate.Thereviewandexaminationcriteriashallcomplywithlaws,norms,standards,contractualagreements,andtherequirementsoftheemployer;thespecificscope,detailsandcostsharingofthereviewandexaminationarestipulatedintheparticularconditionsofcontract.
12.4费用结算Costsettlement
TheDesignermay,subsequenttocompletionofthecontractwork,submitapplicationforsettlementofthedesigncosttotheemployersubjecttothenumberofcopiesandthetimelimitstipulatedinthetermsoftheparticularconditionshereof,andproviderelevantcertificationmaterials.
Theemployershallwithin28daysuponreceiptofapplicationforsettlementofthecost,effectthepaymentpayablestotheDesignerforwhichtheDesignershouldprovideanequalamountofVATinvoicethereon.Iftheemployerfailstocompletetheapprovalorreplywithinaforementionedtime,itshallbedeemedemployerhaveagreedtotheinterimpaymentapplication.Iftheemployerfailstopayontime,theoverduepaymentliquidateddamagesshallbepaidaccordingtothetermsoftheparticularconditionshereof.
12.4.3发包人对费用结算申请内容有异议的，有权要求设计人进行修正和提供补充资料，由设计人重新提交。设计人对此有异议的，按第15条的约定执行。
Iftheemployerdisagreeswiththecontentofcostsettlementapplication,ithastherighttorequesttheDesignertomakeamendmentsandprovidesupplementaryinformation,whichshallberesubmittedbytheDesigner.IftheDesignerdisagreeswiththis,itshallbeimplementedinaccordancewiththeprovisionsofarticle15.
