13.推迟交货和罚款

如卖方没有按照合同规定准时交货，买方同意卖方付给罚款。加入卖方交货期超过7天，买方有权取消合同。取消合同的情况，卖方仍不能延误付给买方上述罚款。

15.争议的'处理

3、双方应本着诚实信用的原则履行本合同。任何一方在履行中采用欺诈、胁迫或者暴力的手段，另一方可以解除合同并有权要求对方赔偿损失。任何一方在履行中发现或者有证据表明对方已经、正在或者将要违约，可以中止履行本合同，但应及时通知对方。甲方提前解除合同，无权要求乙方返还域名并应对乙方遭受的损失承担赔偿责任，乙方无故解除合同，应返还甲方上述费用以及域名。

六、甲方义务obligationsofpartya

货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_____个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。

Claims:
如经中国_____检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。

18．延期交货违约金
Latedeliveryandpenalty
除双方认可的.不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及
时通知买方。

20．争议之解决方式：

一、交货条款TERMSOFDELIVERY
１．装船条件：TermsofShipment;

(B)货物装运前10—15日，买方应电告卖方合同号、船只名称、船只预计到港日期、装运数量及船运代理人的名称，以便卖方可与该船运代理人联系及安排货物的装运。卖方应将联系结果及时报告买方，如买方因故需要变更船只或有关船只提前或推迟到达情况发生，买方或船运代理人应及时通知卖方。卖方亦应与中租代理保持密切联系。

2.装船通知：货物装运完毕后，卖方立即以电报通知买方合同号、货名、所装数量或重量、发票金额、船名、起运口岸、开船日期及目的口岸。由于卖方不给上述装船通知电报而导致买方不能及时保险时，则所发生之一切损失均由卖方负责赔偿。

BarrelsperdayofArabianLightcrudeoil,minusuptotenpercent(10%)ifBUYERsorSEELERsoption,orplusuptotenpercent(10%)ifBUYERsorequestsandSELLERagrees.Additionalvolumesofcrudeoilofsimilarordifferentgradesmaybedeliveredunderthisagreementasthepartiesmayfromtimetotimeagree.
TheavailabilityofeachgradeofcrudeoilspecifiedinParagraph3.1willbeadvisedbySELLERfromtimetotimeinaccordancewiththeproductionpoliciesofGovernmentoftheKingdomofSaudiArabia.Subjecttoavailability,andunderlessotherwisemutuallyagreed,thequantitiedofeachgradeofcrudeoiltobeliftedorreceivedandpurchasedbyBUYERduringthetermofthisAgreementshallbespreadoverthetermofthisAgreementasevenlyaspracticable.

toliftorreceiveandpurchasequantitiesofcrudeoilinaccordancewiththisParagraph3,SELLERmayatonetimeorfromtimetotimethereafter,atitssolediscretion,anduponnoticetoBUYER,reduceanyorallquantitiesandgradesofcrudeoilwhichBUYERwouldhaveotherwisebeenentitledtoliftandbuy.
ThequalityofeachgradeofcrudeoildeliveredhereundershallbetheusualqualityofthatgradebeingmadeavailablebySELLERatthetimeofloadingofthecrudeoilattheSELLER'sloadingportinSaudiArabia.SELLERwarrantsthatithasgoodandmarketabletitletothecrudeoil,freeandclearofallcharges,liensandencumbrancesbutTHEREARENOGUARANTEESORWARRANTIES,EXPRESSORIMPLIED,OFMERCHANTABILITY,FITNESSORSUITABILITYOFTHECRUDEOIL,FORANYPARTICULARPURPOSEOROTHERWISE,WHICHEXTENDBEYONDTHEDESCRIPTIONOFTHECRUDEOILANDANYSPECIFICATIONSTHEREFORCONTAINEDINTHISAGREEMENT.

4.1ThepriceperbarrelofeachgradeofcrudeoiltobesoldhereundershallbetheaverageofthemeansofOmanandDubaicrudeoilquotations(as
publishedinPlatt'sCrudeOilMarketwireundertheheading"SpotAssessment")fortheentiremonthinwhichtheBillofLadingdatefalls,plusorminusadifferentialforeachgradetobeprovidedbySELLERtoBUYERasperParagraph4.2.
每个品级的原油的每桶价格买的价格将会取阿曼和迪拜的原油报价的均值的平均数。（正如在泼辣托市场上的'点评估标题下的），一整个月的提单在日落期，加或减一个不同对于每个品级的由卖方提供给买方如段落4.2中的。
每个月第五天或是第五天之前，卖方需通知买方，习惯于决定每个品级的原油的每桶的价格在协议下的下一个月的销售（预订交货月）。在收到如前所
述的内容卖方在五个日历天之内通知，买家可能选择终止合同，通过发送书面证明的方式由此发给卖方。除非买方根据前述的内容终止协议，通知卖方的价格差异将被申请。由买方根据段落4.2的终止将会有效，自当月的第一天起根据卖方收到买方的通知为准，假使，然而，在规定条款下的此终止将不会影响到当事人的权利和义务希望原油按照合同的要求运送，在生效期前终止；如果是，在有效期内终止合同，合同将保持有效考虑到原油的运送确定依照段落6.在终止期前一直有效。
IfdeliveryisatYanbu,BUYERshallpay,inadditiontothepricecalculatedinaccordancewithParagraph4.1,theEast-WestPipelinetransitfee,currentlyU.S.$0.25(twenty-fiveU.S.cents)perbarrel.
如果是在yanbu卸货，买家将会付款，额外价格的计算将会根据段落4.1，中东管道运输费，当前为每桶0.25美元（25美分）
签发提单应该在预期装运之前或是之后，运价将会计算使用不同的应该被申请的已经签发的提单；然而，阿曼和迪拜价格将会按照提单的日期来计算，如前所述的段落4.1
