Withinmanycountries,separatebodiesoflawexist.Forexample,intheUnitedStates,eachstatehastheauthorityandexclusivejurisdictiontomakelawsoncertainissues,suchasrealpropertyandfamilylawgoverningcitizenswithintheirborders.Eachstateisalsopermittedtomakeandenforceitsownbodyofcontractlaw,withinlimitssetbyfederallawsandwithinthelimitationsonpowersetforthintheUSConstitution.
Issuescanarisewhenpartiesfromtwodifferentstatescontractorwhentwodifferentstateshaveinterestinadjudicatingtheresultsofatortlawcauseofactionorothertypeoflegaldispute.AsimilarproblemcanariseintheEuropeanUnion,whenpartiesfromtwoseparatemembersoftheUnionhavealegaldispute.Inthesesituations,itbecomesmoredifficulttodeterminewhatthegoverninglawisandwhichstate'sorjurisdiction'slawshouldbeusedtosettlethedispute.

1GoverningLaw
ThisAgreementshallbegovernedbyandconstruedunderthelawsofHongKong,withoutregardtoprinciplesofconflictsoflawthereunder.

2ApplicableLaw
"ApplicableSecuritiesLaw"means(i)withrespecttoanyofferingofsecuritiesintheUnitedStates,oranyotheractoromissionwithinthatjurisdiction,thesecuritieslawoftheUnitedStates,includingtheExchangeActandtheSecuritiesAct,andanyapplicablelawofanystateoftheUnitedStates,and(ii)withrespecttoanyofferingofsecuritiesinanyjurisdictionotherthantheUnitedStates,oranyrelatedactoromissioninthatjurisdiction,theapplicablelawsofthatjurisdiction.
