3、atuteisenactedinordertoclarifytheapplicationoflawstocivilrelationshipsinvolvingforeignelements,toresolvecivildisputesinvolvingforeignelementsinanequitablemanner,andtosafeguardthelawfulrightsandinterestsofparties.Article2Thelawapplicabletocivilrelationships
4、involvingforeignelementsshallbedeterminedinaccordancewiththepresentStatute.Ifotherstatutescontainspecialprovisionsontheapplicationoflawstocivilrelationshipsinvolvingforeignelements,thoseprovisionsshallprevail.IfthepresentStatuteorotherstatutescontainnoprovis
5、ionswithregardtotheapplicationoflawstocivilrelationshipsinvolvingforeignelements,thelawthathastheclosestconnectionwiththecivilrelationshipinvolvingforeignelementsshallbeapplied.Article3Inaccordancewithstatutoryprovisions,thepartiesmayexpresslychoosethelawa
6、pplicabletoacivilrelationshipinvolvingforeignelements.Article4IfthelawofthePeoplesRepublicofChinacontainsmandatoryrulesoncivilrelationshipsinvolvingforeignelements,thosemandatoryrulesshallbeapplieddirectly.Article5Iftheapplicationofaforeignlawwouldcausehar
7、mtosocialandpublicinterestsofthePeoplesRepublicofChina,thelawofthePeoplesRepublicofChinashallbeapplied.1Article6Ifacivilrelationshipinvolvingforeignelementsistobegovernedbyforeignlaw,andifdifferentregionsintheforeigncountryhavedifferentlawsinforce,t

11、ublicofChinashallbeapplied.ChapterIICivilSubjectsArticle11Thecivillegalcapacityofanaturalpersonshallbegovernedbythelawoftheplaceofhis/herhabitualresidence.Article12Thecapacitytoengageinciviljuristicactsofanaturalpersonshallbegovernedbythelawofthepl
12、aceofhis/herhabitualresidence.Ifanaturalpersonisengagedincivilactivities,andhe/shehasnocapacitytoengageinciviljuristicactsaccordingtothelawoftheplaceofhis/herhabitualresidence,buthe/shehasthecapacitytoengageinciviljuristicactsaccordingtothelexlociac
13、tus,thelexlociactusshallbeapplied,exceptifmarriage,familyorsuccessionisinvolved.Article13Declarationofamissingpersonordeclarationofdeathshallbegovernedbythelawoftheplaceofhabitualresidenceofthenaturalpersonconcerned.Article14Matterssuchasthecivillegal
14、capacity,thecapacitytoengageinciviljuristicacts,organizationsandinstitutionsofalegalpersonanditsbranches,aswellasshareholdersrightsandduties,shallbegovernedbythelawoftheplaceofregistration.Iftheprincipalplaceofbusinessofalegalpersondiffersfromtheplac
15、eofregistration,thelawoftheprincipalplaceofbusinessmaybeapplied.Theplaceofhabitualresidenceofalegalpersonisitsprincipalplaceofbusiness.Article15Contentsofrightsofpersonalityshallbegovernedbythelawoftheplaceofhabitualresidenceoftherightholder.Article
16、16Agencyshallbegovernedbythelexlociactusoftheactofagency,butcivilrelationshipsbetweentheprincipalandtheagentshallbegovernedbythelawoftheplacewheretheagencyrelationshipoccurs.Thepartiesmaychoosebyagreementthelawapplicabletoanentrustedagency.Article17
17、Thepartiesmaychoosebyagreementthelawapplicabletoatrust.Intheabsenceofachoicebytheparties,thelawoftheplacewherethetrustpropertyissituatedorthelawoftheplacewherethetrustrelationshipoccursshallbeapplied.Article18Thepartiesmaychoosebyagreementthelaw
18、applicabletoanarbitrationagreement.Intheabsenceofachoicebytheparties,thelawoftheplacewherethearbitrationinstitutionissituatedorthelawoftheplaceofarbitrationshallbeapplied.2Article19Ifthelawofthecountryofnationalityistobeappliedaccordingtothepresent
19、Statute,andanaturalpersonhastwoormorenationalities,thelawofthecountryofnationalityinwhichhe/shehasahabitualresidenceshallbeapplied;ifhe/shehasnohabitualresidenceinanycountryofnationality,thelawofthecountryofnationalitywithwhichhe/shehastheclosestco
20、nnectionshallbeapplied.Ifanaturalpersonhasnonationality,orifhis/hernationalityisunknown,thelawoftheplaceofhis/herhabitualresidenceshallbeapplied.Article20IfthelawoftheplaceofhabitualresidenceistobeappliedaccordingtothepresentStatute,andtheplaceofha
21、bitualresidenceofanaturalpersonisunknown,thelawoftheplaceofhis/hercurrentresidenceshallbeapplied.ChapterIIIMarriageandFamilyArticle21Conditionsofmarriageshallbegovernedbythelawoftheplaceofcommonhabitualresidenceoftheparties;theyshallbegovernedbythela
22、wofthecountryofthecommonnationalityintheabsenceofaplaceofcommonhabitualresidence;theyshallbegovernedbythelexlocicelebrationisifthereexistsnocommonnationalityandthemarriageistobeenteredintoattheplaceofhabitualresidenceofonepartyorinhis/hercountryo
23、fnationality.Article22Formalitiesofmarriagearevalidiftheysatisfythelexlocicelebrationis,thelawoftheplaceofhabitualresidenceorthelawofthecountryofnationalityofoneparty.Article23Personalrelationshipsofspousesshallbegovernedbythelawoftheplaceoftheircomm
24、onhabitualresidence;intheabsenceofaplaceofcommonhabitualresidence,thelawofthecountryoftheircommonnationalityshallbeapplied.Article24Withregardtopropertyrelationshipsofspouses,thepartiesmaychoosebyagreementthelawoftheplaceofhabitualresidenceorthelawof
25、thecountryofnationalityofoneparty,orthelawoftheplacewheretheprincipalpropertyissituated,asapplicable.Intheabsenceofachoicebytheparties,thelawoftheplaceoftheircommonhabitualresidenceshallbeapplied;intheabsenceofaplaceofcommonhabitualresidence,the
26、lawofthecountryoftheircommonnationalityshallbeapplied.Article25Personalrelationshipsandpropertyrelationshipsbetweenparentandchildshallbegovernedbythelawoftheplaceoftheircommonhabitualresidence;intheabsenceofaplaceofcommonhabitualresidence,thelawofthe

41、embodythecharacteristicsofthecontract,orbyanyotherlawthathastheclosestconnectionwiththecontract.Article42Consumercontractsshallbegovernedbythelawoftheplaceoftheconsumershabitualresidence;iftheconsumerhaschosenthelawoftheplaceoftheprovisionofcommodit
42、iesorservicesasapplicable,oriftheentrepreneurhasnotbeenengagedinrelevantbusinessactivitiesattheplaceoftheconsumershabitualresidence,thelawoftheplaceoftheprovisionofcommoditiesorservicesshallbeapplied.Article43Laborcontractsshallbegovernedbythelawofth
43、eplacewherethelaborerworks;iftheplacewherelaborerworksisdifficulttoascertain,thelawoftheprincipalplaceofbusinessoftheemployingunitshallbeapplied.Labordispatchmaybegovernedbythelawofthedispatchingplace.Article44Tortiousliabilityshallbegovernedbythel
44、exlocidelicti,butitshallbegovernedbythelawoftheplaceofcommonhabitualresidenceifthepartieshaveaplaceofcommonhabitualresidence.Ifthepartiesagreetochoosetheapplicablelawaftertheoccurrenceofatortiousact,theiragreementshallbefollowed.Article45Productliab
45、ilityshallbegovernedbythelawoftheplaceofhabitualresidenceofthepersonwhoserighthasbeeninfringedupon;ifthepersonwhoserighthasbeeninfringeduponhaschosenthelawoftheprincipalplaceofbusinessoftheinfringingpersonorthelexlocidamniasapplicable,oriftheinfr
46、ingingpersonhasnotbeenengagedinrelevantbusinessactivitiesattheplaceofhabitualresidenceofthepersonwhoserighthasbeeninfringedupon,thelawoftheprincipalplaceofbusinessoftheinfringingpersonorthelexlocidamnishallbeapplied.Article46Ifrightsofpersonality,suc
