8.装运条款：卖方保证按时将合同所述货物运往买方港口。
Termsofshipment:Thesellershallshipthegoodswithintheshippingdatefromtheportofshipmenttothe
portofdestination.Transshipmentisnotallowedwithoutthebuyer’sconsent.
9.装运通知：货物全部装船后，卖方将于10个工作日内将合同编号、商品名称、数量、毛重、发票金额、船名和开船日期传真通知买方。

10.保险：
Insurance:Insuranceshallbecoveredbythesellerfor110%oftheinvoicevalueagainstAdditionalRisksandStrikeRisks11.检验：Inspection卖方须在装运前15日委托德国机械进出口检验机构对本合同之货物进行检验并出具检验证书，货到目的港后，由买方委托中国进出口货物检验机构进行检验。TheSellershallhavethegoodsinspectedby15daysbeforetheshipmentandhavetheInspectionCertificateissuedbyGermanMachineryI/EInspectionBureau.TheBuyermayhavethegoodsreinspectedbyChinaI/EInspectionCorporationShanghaiBranchafterthegoodsarrivedatthedestination.
Claims:Within90daysafterthearrivalofgoodsatdestinationshouldbequality,specificationsorquantitybefoundnotinconformitywiththestipulationsofthecontractexceptthoseclaimsforwhichtheinsurancecompanyortheownersofthevesselareliable.thebuyersshall,onthestrengthoftheinspectioncertificateissuedbyEntry-ExitInspectionandQuarantineofthePeople’sRepublicofChinahavetherighttoclaimforreplacementwithnewgoodsorforcompensationandalltheexpenses(suchasinspectioncharges,freightforreturningthegoodsandforsendingthereplacementinsurancepremium)shallbebornebythesellers.
12.仲裁：凡有关本合同或执行本合同而发生的一切争执，应通过友好协商解决。如不能解决，则应申请进行仲裁。仲裁将在中国贸易促进委员会仲裁委员会进行。其做出的裁决是最终的，买卖双方均应受其约束，任何一方不得向法院或其他机关申请变更。仲裁费用由败诉方负担。
Arbitration:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledthroughfriendlynegotiation,incasenosettlementcanbereachedthroughnegotiations,thecaseunderdisputeshallbesubmittedforarbitrationtotheChinaEconomicandTradeArbitrationCommissionBeijinginaccordancewiththeprovisionalrulesofprocedurespromulgatedbythesaidarbitrationcommission.Theawardofthearbitrationshallbefinalandbindinguponbothpartiesforrevisingthedecision.Thearbitrationfeeshallbebornebythelosingpart.
13.不可抗力：由于人力不可抗拒事故，而卖方交货迟延或不能交货时，责任不在卖方，但卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的事故证明用空邮寄交卖方为证。
ForceMajeure:Thesellershallnotbeheldresponsibleforanydelayindeliveryornon-deliveryofthegoodsduetoforcemajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.However,thesellershalladvisethebuyerimmediatelyofsuchoccurrenceandwithin14daysthereafter,thesellershallsendbyairmailtothebuyersfortheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthoritiesoftheplacewheretheaccidentoccursasevidencethereof.
14.附加条款：本合同一式二份买卖双方各执一份。

I.Therightsandresponsibilitiesofthetwoparties:
Buyersresponsibilityandrightsareasfollows:
1.thebuyerisresponsibleforthedeliveryoftheR&Drequirementsandplansofthesellersproject,andprovidesthesalesforecastasfaraspossible.
2.thebuyerisresponsibleforthedeliveryoftheproductdesigndrawingsandotherrelatedtechnicalinformationrequiredbythesellertothesellerandthetechnicalsupport.
3.,thebuyerhasthesolerighttointerprettheproductdesigndrawingsandrelatedtechnicaldatadeliveredtotheseller.Whenthereisambiguity,theSellershallconsultthebuyersopinionandconfirmitbythebuyer.
4.afterthesellercompletesthedesignandmanufactureofthemould,thebuyerwillgotothesellerssitetoverifythemold,ortoprovidetheproductsampletothebuyerforconfirmationandconfirmationbytheseller.Themouldsreferredtointhiscontractincludethemouldoftheproductitselfandthefixtureandmouldneededforthesubsequentproduction.
Therightsandresponsibilitiesofthesellerareasfollows:
1.thesellerisresponsibleforthedesignandmanufactureofthemouldsaccordingtotheproductdesigndrawingsandotherrelatedtechnicalinformationprovidedbythebuyer.
Beresponsibleforcompletingthemoldaccordingtothebuyersdesignrequirementsinaccordancewiththestipulationsofthecontract.
2.theSellershallberesponsibleforprovidingtimelycertificationandsampletest,trialproductionofdesiredproducts.Atthesametimethesellermustprovidethedetailsoftherelatedproducts.
Thedetailedtestreportisforthebuyersconfirmation.Incaseofrepair/modification,thetestreportisalsoattachedatthesametime.
Thebuyerdoesnotbearanyresponsibility.
1.5theSellershallgivethebuyerthecorrespondingcompensationintheformofthebuyersapprovalasthesellercausesthebuyertospendthelaborandcostoutsidethenormaltechnicalsupportasaresultofthesellerscause.
2.theprogressofthemodel:
2.1thesellerafterthereceiptofthebuyeraftertheconfirmationofproductdrawing,whichbegantoenterthemolddesignandproductionstage,opencyclefor________days
2.2duetobuyerscausethedelayofmoldmakingprogressisnotcalculated.
2.3ifthesellersmoldmakingprocessandothermistakesleadtothefailureofthemoldtobeacceptedandthebuyerisinurgentneedofproduction.
Atthesametime,theproductionshouldbearrangedwiththeexistingmold,andthedieshouldbereopenedaccordingtotherequirementsofthedrawingsandsamples.
3.modeofpayment:
PartyBagreesthatPartyAwillpaythepaymentasfollows.
3.1separatesettlement:Monthlyknot,60daysaftertheopeningoftheticket,open17%VATinvoices.
3.1.1ofthetotalamountofthecontractmanufacturingbatchmould(includingVAT)forRMB_________yuan(RMB________yuan),thebuyertopaythetotalamountof_____%mold,mold___%residualcostallocationinthefirst50Kproducts,ifthenumberoforderslessthan50K,thebuyershallsupplytheselleraftertheunamortizedtoolingcost.
3.1.2fromthetwosidesafterthesigningofthecontract,thesellertoprovidevalue-addedtaxinvoices(moldtotal____%),thebuyerwithintwentyworkingdaysofpayment.
4.productorder:onlyafterthequalityacceptanceoftheproductsampleisqualifiedandthebuyerswrittenconfirmation,thesellermayaccepttheorderofthethirdpartyauthorizedbythebuyerorthebuyer.Theordercontractsignedbythirdpartiesauthorizedbythebuyerwiththebuyerssellerissubjecttothiscontract.
Four,productqualityassurance
Afterthesellerhascompletedthemold,theSelleragreestoguaranteethequalityoftheproductinaccordancewiththebuyersqualitystandard(thefirstconfirmationreport).
Thebuyerreservestherighttomodifythecontentofthequalitystandardinaccordancewiththeactualneeds.
Five.Theownershipofthemold
1.theownershipofallmouldsandclampingfixturesandtheirassemblydrawingsandpartsdrawings(including2Dand3D)involvedinthecontractshallbeownedbythebuyer,andtheSellershallnotinterferewiththebuyersdispositionofthemolds.Ifthesellerisresponsibleforthecustodyoftheseller,theSellershallnotsupplythemouldtothethirdpartywithoutthebuyersconsent,otherwisethebuyershallhavetherighttoaskthesellertoreturnthemoldfeeandcompensatefortheloss.
2.whenthebuyerpaysthemoldcost,thesellermustcooperatewiththebuyerorthethirdpartydesignatedbythebuyertotransfertheinspectionandacceptthereplacementofthediefromthesellersplace,andwillreplacethewornpartsattheexpenseofitself,soastoensuretherestartofproduction.Thesellerisobligedtoassemble,rustandpackthemouldsandsendittotheplacedesignatedbythebuyer.Allmoldassemblydrawingsandpartdrawings(including2Dand3D)andallclampingdevicesmustbetransferredtothebuyeratthesametime.
3.,duringtheprocessofmoldtransfer,suchastheimproperassembly,rustpreventionorpackagingoftheseller,itwillcausedamagetothemold,andalldirectandindirectlossesarisingtherefromshallbebornebytheseller.
Six,moldmaintenance
1.,theSellerguaranteestheservicelifeofthemould500thousandtimes,andthesellerisresponsibleforfreemaintenanceduringthisperiod.Ifthemoldisnotusedduringtheservicelife,theSellershallberesponsibleforchangingorreopeningthemoldandtakingthecorrespondingcost.
2.thesellershoulddiechanges,maintenanceandrepairsinatimelymannerandregister,whethersuchamodification,maintenanceandrepairare
Thebuyermadeit.Ifthebuyeristoasktherelevanttechnicaldetailsorevidence,thebuyermayregisterwiththetimewithoutnotice.TheSellershallgivethebuyeracopyoftherecordonceeverythreemonths.Thesellershouldtaketheinitiativetocompletethistaskonaregularbasiswithoutthebuyersrequest.
Six.Intellectualpropertyrights
Theproductandthebuyer1.involvedinthiscontracttoprovidedesigndrawingsandotherinformationintheintellectualpropertyisownedbythebuyer,thebuyerwithoutpermission,theSellershallnotdisclosetoanycompanyorindividual,otherwiseallthelossesresultingfromtheseller;thebuyeronlyagreedtoalldataandinformationprovidedbythesellerbythebuyerthepurposeofthiscontractbasedonthe,
2.theSelleragreestothedesigndrawingswillnotbeprovidedbythebuyerandotherdataorinformationforthepurposeofnoncontractotherthanthesellerorthebuyerhastherighttopursueresponsibility;withoutwrittenpermissionfromthebuyer,theSellershallnotinpublications,advertisingorotherwrittenandoralformtothesellertoprovideorhaveprovidedanydataandinformation.
3.,withoutthebuyerslicense,itisstrictlyprohibitedforthesellertousethismouldtosupplyothercustomersotherthanthebuyerorthebuyersdesignatedcustomer,otherwisealldirectandindirectlossesarisingfromitshallbethesellersresponsibility.
4.otherundisclosedmattersofconfidentialityarecarriedoutinaccordancewiththe"confidentialityagreement"signedbythebuyerandtheseller.
Seven.Liabilityforbreachofcontract
1.theSellershallbeliableforbreachofcontractifthesellerfailstocompletethemoldmakingandsampledeliveryaccordingtotheprogressofeachstagespecifiedinthe2.1.TheSellershallpaythebuyerafineof2%ofthetotalamountofthiscontractatatimeofonedayofdelay.Theamountofthepenaltyisnotmorethanthetotalamountofthecontract.
2.,ifthesellerscausecausesthesellersqualitytobesuppliedtothebuyercantmeetthebuyersrequirements,andtheothermaterialswillbelostandscrappedduringtheassemblyprocess,thesellerwillfullycompensateforthelossandscrapmaterialsandtheresultingartificial/stoplinecosts.Thetwopartiesmaysignseparatelytherawmaterialforproduction.
3.thequalityandprogressoftheproductprovidedtothebuyerbythesellerforthesellerscausecannotreachthebuyer.

3.whenthemoldiscertifiedbythebuyer,thesellerisresponsibleforthesealofthemold.Ifthebuyeragreesthatthesellerisresponsibleforthesubsequentprocessingandproductionoftheproducts,theSellershallberesponsiblefortherepairandmaintenanceofthemoulds,andtheSellershallmakethebatchproductionaccordingtotheorderofthethirdpartyauthorizedbythebuyerorthebuyer.
4.forallthemoldsproducedbythebuyer,theSellershallprovidethebuyerwithdetaileddesigndrawings.AlldrawingsmustbemadeinAutoCADorpro-eng(pro-el2)andmustbetransmittedtothebuyerinelectronicformbeforethemoldopeningforapproval.
Two.Technicalterms:
1.repairandmaintenanceofthemold:thesellerisresponsiblefortherepairandmaintenanceofthemoldduringtheproductionprocess.
2.,afternodisputebetweenthetwosides,thebuyerwillprovidetheproductdesigndrawingsandrelatedtechnicalinformationtotheseller,andsendtheengineertothesellerstechnicalexchangeorthesellersendtheengineertothebuyerfortechnicalcommunication.TheproductdrawingsandtechnicalrequirementslistisattachedtoAnnex1.
3.thesellerpromisedtousethequalityrequirementsofthemoldforthesystemtoproduceproductstothebuyer
4.thesellerpromisedtousethemoldforthesystemtoproducetheproductcanreachthesellersdeliverycapacity:

1.1afternegotiationbetweenthetwoparties,thesellerwillprovidethefinalofferofthemouldapprovedbythebuyerandsignthepriceconfirmationasanindispensablepartofthecontract.

1.3.2theseller,accordingtothecontract,carriesoutthecostofmaterial,equipmentandmanpowerformoulddesign,testmould.
1.3.3thecostofthesample(800sets)providedbythesellertothebuyerforthecertificationofthemoldandproduct;
1.3.4theselleristhecostofthedievulnerablesparepartstoensurethenormalproductionofthemold;
1.3.5thecostoftherelatedtoolsandtoolsforotherprocessesthatarepreparedforthenormalproductionoftheproduct.
1.4whenthewrittenrequestofthebuyertheselleraccordingtothechangeoftheproductdesignforthemouldmodification,ifthemouldmodificationisrelativelysimple,includinglessmoldmaterialchangesandothersimplechangesfromthemold,thesellertothebuyerwithoutcharges;ifthemodificationiscomplex,greatinfluenceonthewholestructureofthemold,thentheselleraccordingtothemodifiedworkinghoursformoldtothebuyerbythebuyeroffer,thecorrespondingmoldmodificationcost.Thebuyershallnotbearanyresponsibilityfortherepairormodificationofthemoldduetothesellersreason,duetothefailureofthemoldtomeetthebuyersrequirements.
1.5bythesellertothebuyersmanualandcosttechnicalsupportfromthenormalcost,theSellershallgivethebuyerrecognizedthewaythecorrespondingcompensation.
2.1afterthesellerhasreceivedtheproductdrawingfileafterthebuyersconfirmation,thatis,
Thecostofartificial/stoplineformation.Thetwopartiesmaysignseparatelytherawmaterialforproduction.
3.ifthesellerhascausedthesellertothebuyeroftheproductqualityandscheduleisnotuptotherequirementsofthebuyer,thebuyerandcustomermissedthebesttimetomarket,orthebuyerwasforcedtocanceltheproject,sothatthebuyeranditscustomerssufferseriouslossesandlossofmaterialresearch,inadditiontothesellertorefundallpreviousthebuyertopaythepurchaseprice,dependingontheactualsituationoftheselleralsobearthebuyerdirectandindirecteconomiclosses.
4.,ifthesellerisunabletoresistforce,includingthewar,fire,strike,andotherforcemajeurecausedbyChineselaw,thebuyerwillallowthebuyertodismissit.TheSellershallnotifythebuyerinwrittenformwithin24hoursaftertheoccurrenceoftheforcemajeure,andthesellerisobligedtotakeallnecessarymeasurestodeliverthegoodsassoonaspossible.Iftheforcemajeurecontinuesformorethan2weeks,thebuyerhastherighttocancelthiscontract.
5.otherunfinishedmatters:implementedinaccordancewiththeeconomiccontractlaw.
Eight.Disputesettlement
Anydisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlynegotiationfirst.Ifnonegotiationcanbereachedwithin30days,eitherpartycansubmitthedisputetothemunicipalcourt.
Thepartiestothiscontractshallbestrictlyenforced.Ifonepartyfailstoperformthecontractinthecauseofthecontract,thepartymustaskfortheconsentoftheotherpartytwoweeksinadvance,andthecontractshallbeterminated.

三、工资Salary
乙方每月的基本工资：RMB绩效工资：RMB综合福利金：RMB，工资总额为RMB元(该金额尚未扣除税金、住房费用以及社会保险中个人应缴的部份)，另甲方予以乙方工资总额7%的住房公积金(如法律规定住房公积金缴交基数有上限，则依照法规执行)。试用期满，经考核后,根据考核结果确定是否正式录用，正式录用后薪金保持不变。甲方将视公司的盈利情况和乙方的考核结果，于每年的三月份进行薪金调整。

六、加班费OTCompensation

九、保密协议Confidentiality
乙方需严格保守工作过程中接触和了解到的公司商业秘密(包括生产技巧、工艺流程、技术秘密、管理方法、产销策略、货源情报、设计图纸、成本价格和客户资料)，否则将受到行政处罚(如无条件解雇、赔偿等);触犯刑法的，甲方将有权移交司法机关处理。乙方调离甲方，应得到甲方同意，并将所有商业秘密资料移交甲方，同时承担不向外泄露的义务，并保证半年内不得利用甲方商业秘密在生产同类且与甲方有竞争关系的产品的其他企业内任职。否则，甲方有权要求乙方赔偿因此而带来的一切经济损失。

十、合同终止Termination
1.终止本合同条件Terminationconditions
A.试用期间，双方皆可即时通知对方解除本合同;
Duringtheprobationperiod,eithersidecanterminatethecontractbyimmediateeffect.
B.试用期满后，任何一方欲解除合同，须提前三十日以书面形式通知对方。否则，违约方须向守约方支付违约金(违约金为乙方一个月的工资)，若造成守约方经济损失的，应依法承担赔偿责任。

A.乙方在试用期间达不到甲方的要求;PartyB’sperformancecan’tmeetPartyA’srequirement.
B.乙方严重失职，给甲方利益造成重大损失的;

3.乙方在下列情况下终止本合同不需向甲方补偿
Ifanyoneofthefollowingcircumstances,PartyBhastherightofinformPartyArescissionofthecontractwithoutanycompensation：
A.被非法限制人身自由的手段强迫劳动的;
PartyBisforcedtoworkbyillegalmeans.
B.未按本合同约定支付劳动报酬或劳动条件的;
PartyBcannotgetthesalaryorworkingconditionswhichagreedinthecontract.
十一、甲、乙双方须共同遵守国家有关法规以及甲方《员工手册》的有关规定。

乙方如逾期支付租金，每逾期一天，则乙方需按月租金的0.2%支付滞纳金，欠交租金超过七天，视同违约，甲方有权收回房屋，并由乙方承担一切违约责任。
2.4：RentalistobepaidincashinRMBYUAN.THELESSORwillmakeoutreceipt.租金以人民币支付，甲方出具收据。
3:押金Deposit:
3.1：Atthetimeofsigningofthecontract,adepositofmonths"equivalentrentalRMB______shallbepaidbyTHELESSEEincash.签约时，承租人须支付相当于月房租的押金，即人民币___元整。该押金不得冲抵房款。
3.2：Thedepositshallberefundableafteritsexpirationorearlytermination(withsamecurrencyandwithnointerestthereupon),providingallfurnishings,contentsandrentalpropertyarenotsubjecttoanylossofunusualdamage,andallthevariousbillshavebeendulysettled.在合同到期或解约后,甲方在乙方不拖欠任何费用和保持室内设施完好的情况下即返还押金。

在租赁合同期内，甲乙双方任何一方未经对方同意中途擅自解除合同的.，应向对方支付一个月的房租作为违约金。
4.3：Atitsexpiration,withamustof30dayspriorwrittennoticetoTHELESSOR,THELESSEEretainshisprioritytorenewthislease.THELESSORshallalsoinformTHELESSEE30daysinadvancewhethertherentalwillbeadjusted.IftheoccupantsdecidenottorenewleasewithinTHELESSEE"sterm,THELESSEEshallgiveapriorwrittennoticetoTHELESSOR..本合同期满时，乙方有优先续租权，但须提前30天给予甲方书面通知，取得甲方的同意，并签订续租合同。甲方亦须在30天前通知乙方是否变动租金。
4.4:IfForceMajeure(suchasearthquake,typhoon,flood,non-man-madefire,governmentorderetc.)causetoterminatingthecontract,THELESSEEandTHELESSORshouldbefreeofduty.
因洪水、地震、或政府拆迁、征用等不可抗力原因，造成双方不得不中止合同，双方不承担违约责任，按实际天数计算房租。
4.5：Incasethatthepropertyownershipistransferredduringthelease,THELESSEEhastherighttocontinuetousethesaidpremisesaccordingtothecontractwithoutanydisturbancefromTHELESSORoranythethirdparty.
在租赁期间，甲方的房屋所有权发生转移，乙方有权继续主张本合同的权利和义务，甲方及第三方不能损害乙方的`权利和义务。
5：LeaseTerm租赁条件:
5.1:ThesepremisesarelimitedofresidentialuseonlybyTHELESSEE,andareprohibitedfromregisteringaslegaladdressforanycompanyoragency,orusingaspublicoffice.乙方不得将该房屋用作公司或代表处的.注册地址。
5.2：THELESSEEshallnotcarryinthepremisesanyunlawfulofillegalactivitieswhicharenotallowedaccordingtoChinalawsandtheleasingregulationsofthegovernment.Otherwise,THELESSORshallhavetherighttotakebackthepremisesafterapriorwrittennoticetoTHELESSEE.
乙方不得在出租房屋内进行违反中国法律及政府对出租房屋用途有关规定的行为，否则甲方有权在书面通知乙方后收回房屋。
5.3：THELESSEEshallnotpartlyortotallysublet,sell,lend,mortgage,exchange,exchangethesaidpremisesoruseitsoastoraiseanyjoint-ventureorbecomeacertainshareholderwithoutthewrittenpermissionfromTHELESSOR.Otherwise,THELESSORcanterminatethecontractandconfiscatethedeposit.THELESSEEandthethirdpartyshallreturnthepropertyunconditionallytoTHELESSOR.THELESSEEshallbearalltheresponsibilitiescausedherefrom.
未经甲方书面同意，乙方不得将出租房屋转租、分租、转让、转借、联营、入股、抵押或与他人调剂交换使用，否则甲方有权终止合同并
没收押金。乙方及第三方必须无条件退还出租房，且由乙方承担一切违约责任。
5.4：THELESSEEshouldpayintimethewater,gas,electricity,heatingfee,theTel-Bills,TVreceiving,managingfeeandtheleaserelatedinvoicetaxesonactualuserbasis.Delayedpaymentmorethan15daysshallberegardedasabreachofthecontract,THELESSORshallhavetherighttotakebackthepremisesafterapriorwrittennoticetoTHELESSEE,andTHELESSEEshallbearalltheresponsibilitiescausedbysuchbreach.
理费、发票税金等费用。如经甲方催促，乙方仍欠交费用，超过15天，甲方有权收回房屋，并由乙方承担一切违约责任。
5.5：ThedamageofthepremisesorthefittingsthatiswithinthecontrolofTHELESSEEshallbebornebyTHELESSEE,
andTHELESSEEshallcontactthemanagementofficeorTHELESSORinstantly.IfTHELESSEErefusestocompensateortocontactthemanagementofficetorepair,THELESSORshallhavetherighttorepairandchargethecostfromTHELESSEE.Thecostofrepairstothesaidpremises,ifdamagedbyForceMajeure(suchasearthquake,typhoon,flood,non-man-madefire,etc.),reasonablewearandtearorbyaccidentsbeyondTHELESSEE"scontrol,shouldbebornebyTHELESSOR.
因乙方使用不当，房屋及其内的设施出现损坏，乙方应及时联络管理机构进行维修，并负担有关维修费用。若乙方拒不维修或赔偿，甲方有权代为维修，维修所需费用由乙方承担;但由于不可抗力，如地震、台风、洪水、非人为的火灾等，自然损耗或乙方以外的原因造成的损坏，由甲方承担有关费用。
5.6：THELESSEE,uponwrittenpermissionofTHELESSOR,maymakeadditionsoralterationsdealingwithwater,electricitysupplyorfireprotection,athisownexpense,subjecttonecessarypermitsorlicensesrequiredbytheauthoritiesconcernedandunderthesupervisionofTHELESSOR.Nostructuralalterationscanberemovedfromthepremises,uponexpirationorterminationofthiscontract.Noreimbursementforsaidadditions,andanystructuraldamagetothepremisesmustberepairedorcompensatedbyTHELESSEE.
租赁期内，乙方对出租房屋进行装修或增加设施须征得甲方同意并经政府有关部门批准，并由甲方执行监理，所需费用由乙方承担。双方解约时，乙方不能移走自行添加的结构性设施，甲方亦不必对上述添加设施进行补偿。如损坏原有之设施，由乙方负责修复或赔偿。
5.7：THELESSEEshallobeytheregulationsmadebythemanagementofficesuchasnottolitterortakeanyprivateuseofpublicareaandetc.
租用房屋之内部卫生，设施保养、维护均由乙方负责。乙方不得占用公共场所及通道作任何用途。
5.8：THELESSEEshallhavetherighttomoveinafterpayingoffthedepositandthefirsttermofrental.
乙方在付清押金，首期租金后即可入住。
5.9：Incasethereisacutofwater,poweroranyotherhitchwhichiscausedbytheaccidentbeyondthecontrolofTHELESSEE,THELESSORshalltaketheresponsibilitytoassistandpushtheauthoritiesconcernedtorepairandresumeitassoonaspossible.若由于甲方以外原因导致出租房屋停水，停电或其他故障，甲方有义务敦促并协助有关部门抢修，使之尽快得以恢复。
5.10：THELESSEEshallnotstoreinoroutofthepremisesanyinflammableordangerousthing,norletanycorrosiveordirtythingcomeoutofthepremises.
乙方须做好安全及防火工作，不得在房屋内外存储或排放有害，腐蚀性或污臭物质，严禁存储易燃，易爆品。
5.11：Insurance:THELESSORwillretaininsuranceonhispropertyandbelongings,andTHELESSEEwillberesponsibleforhisownpropertybroughtintoorkeptinproximityofthepremises.Ifthereisanythinglost,THELESSORshallassisttoconductinvestigations,buthasnoresponsibilitytocompensateit.
乙方须负责好自己带来的财物，妥善保管，如有意外，甲方可协助调查，但不负责赔偿。
5.12：THELESSEEshallreturnthepropertyintacttoTHELESSORattheexpirationofthecontractifthereisnorenewalthereupon.THELESSORshallhavetherighttotakeanyeffectivemeasurestotakebackthepremisesincasethatTHELESSEErefusestomoveoutattheexpirationofthecontract.
租赁期满，若甲、乙双方未达成续租协议，乙方应于租期届满时或之前迁离出租房屋并将钥匙及房屋按租用时之状况归还甲方。若乙方逾期不迁离或不归还出租房屋，则甲方有权采取有效措施收回出租房屋并另行处理。
5.13：THELESSORorhisnominees,withthepre-noticeandconsenttoTHELESSEE,shallhavetherighttoinspectorrepairthepremisesatanyreasonabletime(exceptforemergency).IfTHELESSEEhadanytrouble,whichwasforeigntoTHELESSOR,withthethirdparty。在双方合同期间或解除合同后，乙方与第三方的任何纠纷都与甲方无关，乙方应自行解决。
6：Otherconditions其它条件:
6.1：Threecopiesoftheleasewillbedrawn,andremaininthepossessionofTHELESSOR,THELESSEEandTHEWITNESS.本合同一式三份，甲、乙双方各持一份，见证方一份，具有同等法律效力。
6.3：ThecontractisdrawninbothChineseandEnglishversions.Chineseversionswillhavevalidityfinallyinlaw.Thecontractshallcomeintoforceonthedatethatthelessorreceivesthedepositandthefristtermofrental.
本合同为中英文版本，中英文具有同等效力。发生争议，以中文为最终解释。本合同自出租人收到首期房租和押金后生效。
6.4：Theappendix(Propertylist)isanindivisiblepartofthiscontract.合同的附件是本合同不可分割的组成部分。

(19)不可抗力：卖方对由于下列原因而导致不能或暂时不能履行全部或部分合同义务的，不负责任：水灾、火灾、地震、干旱、战争或其他任何在签约时卖方不能预料、无法控制且不能避免和克服的.事件。但卖方因尽快地将所发生的事件通知对方，并应在事件发生后15天内将有关机构出具的`不可抗力事件的证明寄交对方。如果不可抗力事件之影响超过120天，双方应协商合同继续履行或终止履行的事宜。
FORCEMAJEURE:SellershallnotberesponsibleforfailureordelayinperformanceofentireorportionoftheseSaleContractobligationsinconsequenceofForceMajeureincidents:flood,fire,earthquake,drought,war,oranyothermatterscouldn’tbeforeseenorcontrolledorcouldn’tbeavoided.ButSellershallinformtheincidentstoBuyerimmediately,andshalldeliverythecertificateofForceMajeureincidentsissuedbyrelatedorganizationwithin15daysaftertheincidentshappened.Iftheincidentsinfluencemorethan120days,bothpartiesshallnegotiatetodecidewhethertoexecuteorterminatetheSalesContract.
(20)仲裁：因履行本合同所发生的一切争议，双方应友好协商解决，如协商仍不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则仲裁。仲裁裁决是终局的，对双方都有约束力。仲裁费应由败诉一方承担，但仲裁委员会另有裁定的除外。在仲裁期间，除仲裁部分之外的其他合同条款应继续执行。

Chargesorexpensesrelatedtothefixturesandancillaryequipments&facilitiesofthisrealestate,aswellasthepricesofhomeappliancesandfurnitureagreedbytheParties,havebeenincludedinthetransferpriceandPartyAguaranteethatallsuchancillaryequipments&facilitiesmayworkproperly,allinteriordecorationsthereofsatisfytheconditionsprovidedherein.

四、【法律责任的选择适用】

甲方保证该房地产产权清晰、权属明确，无异议登记、单方预告登记，无司法、行政查封等限制性交易情形存在；若因本条所述情况导致本协议效力瑕疵，甲方应返还乙方所有已付房款并赔偿乙方实际损失。

ThirdpartyBguarantee

Thirdchaptercostandpayment

Seventhinthecaseofthefollowingcircumstances,PartyAshallhavetherighttounilaterallyterminatethisAgreement:
PartyBhasviolateditsguaranteeandcommitmentinthethirdchapter,makingthisagreementimpossibleordifficulttocarryon.
Thefifthchapterofbreachofcontract
Eighthifanyparty("defaultingparty")inviolationoftheobligationsunderthisagreement,thepartyinbreachinreceiptoftheotherparty("nondefaultingparty")forcorrectionofthebreachofthewrittennotice,shouldimmediatelystopitsbreachofcontractandcompensationforlossescausedbythenonbreachingpartysoallin_____days.Ifthedefaultingpartyshallcontinuetobreachordonotfulfilltheirobligations,theotherpartyinallitslossesandgetthepartyinbreachcompensation,alsohastherighttoterminatethisagreement.

3.1除非甲方通过书面形式明确本协议所涉及的某项保密内容可以不用保密，则乙方应从与甲方建立劳动关系之日起（包括试用期内），无限期保守甲方之商业秘密。UnlessPartyAmakesureinwritingthatacertainconfidentialcontentcoveredbythisagreementcannotbeconfidential,thenPartyBshouldkeepthePartyA’stradesecretforeverfromthedateoflaborrelations(includingprobation).

第五条违约责任

5.1如乙方行为造成泄密的，应立即终止泄密行为以及因此而引致的侵犯甲方商业秘密的行为，积极协助甲方采取补救措施防止泄密范围的继续扩大，并向甲方支付由于违约行为而照成的经济损失，该损失包括：直接损失、潜在损失以及权利人为主张权利而支付的费用等。ThetradesecretleakagecausedbythePartyB’sbehavior,thosebehaviorshouldbeimmediatelyterminatedandtheactsofinfringementonPartyA’stradesecretsshouldbeimmediately

Miscellaneous

18.检验(inspection)(以下两项任选一项)：

19.索赔(claim)：
买方凭其委托的检验机构出具的.检验证明书向卖方提出索赔(包括换货)，由此引起的全部费用应由卖方负担。若卖方收到上述索赔后______天未予答复，则认为卖方已接受买方索赔。

21.不可抗力(forcemajeure)：
凡在制造或装船运输过程中，因不可抗力致使卖方不能或推迟交货时，卖方不负责任。在发生上述情况时，卖方应立即通知买方，并在__天内，给买方特快专递一份由当地民间商会签发的事故证明书。在此情况下，卖方仍有责任采取一切必要措施加快交货。如事故延续__天以上，买方有权撤销合同。

22.争议的解决(arbitration)：
凡因本合同引起的或与本合同有关的任何争议应协商解决。若协商不成，应提交中国国际经济贸易仲裁委员会深圳分会，按照申请时该会当时施行的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
