AgreementofPermanentLegalAdvisor

(hereinafterPartyA)isalimitedcompanyengagingin,whichwasregisteredinShijiazhuangAdministrationforIndustry&Commerce.

HEBEIPACIFICCENTURYLAWFIRM(hereinafterPartyB)isanattorneyintermediarypartnershipdirectlyunderHebeiProvinceJudiciaryDepartment.

PartyAdecidestoemployPartyBtoprovidecomprehensivelegalserviceinordertooperateitscompanyuponthelaws,avoidandreducelegalrisksandaddressthelegalissuesinbusinessandassetsmanagement.Bothpartiesherebyagreeasfollowsthroughnegotiationandshallfollow:

I.PartyBshallassignAttorneyPeiJinxiaasapermanentlegaladvisorofPartyAtooffercomprehensive,diligentandprudentlegalservicesforPartyA.

II.ServicescopeofPartyB(includingbutnotlimitedthefollowingaspects)

1.Providedailylegalconsultingandissuelegalopinionswhennecessary;

2.Provideagencyservicessuchaslitigation,non-litigationandarbitrationforPartyAwhenrecoveringdebts;

3.ProvidelegalsupervisionservicewhenPartyAperformsitsrightsasashareholder;

4.TobeentrustedbyPartyAtoparticipateingenerallybusinesstransactionnegotiationandissuelegalopinions;

5.StudymajorandnewproblemsappearinginoperationandmanagementofPartyAuponrequestandprovidelegalschemewhennecessary;

6.TobeentrustedbyPartyAtoprovideotherlegalservices.

III.Confidentialityobligationsofbothparties

1.PartyBshallundertaketotreattheoperationandmanagementstatusofPartyA,relevantdata(includingcomputerinformation)andothercommercialsecretswhicharereceivedfromPartyAduringserviceasconfidentialandshallnotdisclosethemtoanythirdparty.TheconfidentialityobligationofPartyBisnotreleasedfromtheterminationofthisagreement;

2.Sinceservicescheme,professionalcertificationschemeandspecialservicemode(includingthislegalserviceagreement)providedbyPartyBforPartyAduringservicearecommercialsecretsofPartyB,therefore,PartyAshallkeepthemsecretanddoesnotdisclosetoanyotherlawfirmsandattorneys.TheconfidentialityobligationofPartyAisnotreleasedfromtheterminationofthisagreement;

IV.ServicemodeandguaranteeofPartyB

1.ThecounselshallregularlyhandlelegalaffairsforPartyA.Thecounselshallprovidelegalservicesatanytimeincaseofemergencybutnecessarytimeforpreparationandtravelshallbegiven.

2.TheattorneyofPartyBwhoprovidesservicesforPartyAshallnolongerprovideanylegalservicesforcounterpartagainstlitigationandarbitrationbyPartyAunlessthiscounterpartagainstlitigationandarbitrationsingslegaladvisoragreementwithPartyB.

V.CooperationfromPartyA

1.PartyAshallprovidefullanddetaileddataonmatterstobehandledbyPartyBafterentrustment.PartyBrefusestoundertakeanyliabilitiesifrelevantdataprovidedbyPartyAisflawed,anderrorconclusionisnotavoidedafterPartyBperformsprudenceobligation;

2.PartyAshallestablishaspecialagencyorassignalegalprofessionaltokeepintouchwiththeattorneyofPartyBandoffernecessarycooperation.

VI.Checkandpaymentofattorneyfees

1.PartyAshallpayRMB00,000ofattorneyfeestoPartyBwhichshallbeclearedwithin5daysafterthisagreementissigned;

2.WhenPartyBprovidesthefollowingservicetoPartyA,nofeesarecollected:

(1)GenerallegalconsultingprovidedforPartyA;

(2)DraftandrevisegenerallegalinstrumentforPartyA;

(3)ReviewanddraftimportantcontractforPartyA;

(4)TrainrelevantpersonnelofPartyAinlawsregularly;

3.ThefeesofothermajorlegalservicesprovidedbyPartyBforPartyA(mainlyincludearbitration,litigationandnegotiationoflarge-scaledproject)shallbecollectedthroughconsultationbutPartyBshallofferprivilegeattheprescribedscopeofthestate.

PartyAandPartyBshallsignaseparateriskagencycontractonspecialbackmoneyorothermatters.

VII.ThefollowingfeesshallbeundertakenbyPartyA

1.Litigationexpense,maintenancecosts,executionfees,evaluationfeeandauctionfeecollectedbycourtorarbitralauthorityandtravelexpenseofstafffromsuchauthorities;

2.TravelexpenseoutsidethecityofattorneyofPartyBentrustedbyPartyA;

3.ChargespaidbyattorneyofPartyBwheninvestigatingandcollectingevidenceentrustedbyPartyA(investigationcharge);

4.OthernecessaryfeespaidafterconsentbyPartyAattheentrustmentofPartyA.

VIII.ExecutionofagencyrightofPartyB

WhenPartyBisentrustedbyPartyAtohandleeachlegalproceeding,PartyAisrequiredtoissuepowerofattorneyandhandlerelevantagencyformalities.AsformajorproceedingrelatedtorightsofPartyA,PartyBshallnotexecuteuntilspecialwrittenauthorityisobtainedfromPartyA.

IX.Cooperationterm

ThecooperationtermbetweenPartyAandPartyBisyear(years)(fromDDMM2013toDDMM201)andthisagreementisrenewedafteritexpires.

XI.Bothpartiesshallreachanotheragreementonitemsnotspecifiedinthisagreement,whichisanintegralpartofthisagreement.Anydisputesarisingoutinperformanceshallbesettledbybothpartiesthroughconsultation.Ifthedisputecannotberesolvedbythewayofconsultation,itshallbesubmittedtoSHIJIAZHUANGARBITRATIONCOMMISSIONforarbitration.

XII.Thisagreementisintriplicate,eachpartyshallholdoneandthecounselshallholdtheotherone.
