16.Termination
16.1Agreementeffectiveformembers
ThisAgreementwillremaininfullforceandeffectwhileyouareamemberoftheServiceorwhileyouotherwiseusetheWebsite.
16.2Terminationofmembershipbyyou
Youmayterminateyourmembershipatanytime,foranyreason,effectiveimmediatelyuponourreceiptofyourwrittennoticeoftermination.NoticeofterminationmaybedeliveredtotheaddresscontainedintheContactUssectionoftheWebsite,maybeemailedtotheemailaddresslistedintheContactUssectionoftheWebsite,ormaybeeffectedbyclickingontheSwitchOffMembershiplinkinthemembers'sectionoftheWebsite.Youwillnotbeentitledtoarefundofyourmembershipfeesasaconsequenceoftheterminationofyourmembership.

(a)YoumaycancelthisAgreement,withoutpenaltyorobligation,atanytimewithinthree(3)businessdaysofsubscribingtopaidservices(theCancellationPeriod).TocancelthisAgreement,youmustsendusasignedanddatednoticebyregisteredorcertifiedmailwhichstatesthatyouarecancelingthisAgreement,orwordstothateffect.Thisnoticeshallbesentto:ChinaLoveCupid.com,Attn:RefundRequest,71TowerRoad,SLM1609,Sliema,Malta.IfyousendordeliverthenoticetocancelyoursubscriptionagreementwithintheCancellationPeriod,theCompanywillreturn,withintheprescribedtimeperiod,anypaymentsthatyouhavemadethataresubjecttothisprovision.
IfyouarearesidentofCalifornia,Illinois,NewYork,orOhioatthetimeofenteringintoyoursubscription,thenthefollowingprovisionappliestoyou:

16.4TerminationofyouraccesstoService
Wemay,inourabsolutediscretion,block,terminateorsuspendyouraccesstoallorpartoftheServiceatanytime,withorwithoutnotice,foranyreason,includingwithoutlimitation,anyfraudulent,abusive,orotherwiseillegalactivity,orthatwhichmayotherwiseaffecttheenjoymentoftheServicebyothers.
16.5Terminationofmembershipbyus
WemayimmediatelyterminateyourmembershipandyouraccesstotheServiceatanytimeifwedetermine(inourabsolutediscretion)thatyouhavebreachedthisAgreement.Noticeofterminationwillbedeliveredtothelastemailaddressyouprovidetous.Anypre-paidfeesrelevanttotheperiodfollowingterminationwillberefundedtoyouafterdeductinganycostsincurredorlosssufferedbytheCompanyinconnectionwithyourmembership.
16.6Deactivationfornon-use
WemaydeactivateyouraccountifyouhavenotusedtheServiceforaconsecutive6monthperiodunlessyouhaveanactivepaidsubscription.
16.7TerminationunderConsumerContracts(Information,CancellationandAdditionalCharges)Regulations2013
Thissectionappliestoyouonlyifyouarea"consumer"asdefinedintheConsumerContracts(Information,CancellationandAdditionalCharges)Regulations2013("theRegulations")andresidentwithintheUKandhavenotcommencedtousetheservice.IntheeventtheRegulationsapplytotheseTermsofUse,youmayterminateyourmembershipwithinfourteen(14)daysofregisteringasamemberoftheServicebyprovidingnoticeinwriting.YoumayusetheServiceimmediatelyuponregisteringasamember.
(a)Ifyouhavecommencedusingourservicewithinthefourteen(14)daycancellationperiodyouareprovidedpursuanttotheConsumerContracts(Information,CancellationandAdditionalCharges)Regulations2013,youwillbetakentohaverequestedweprovidetheservice.Intheeventthatyouhaverequestedweprovidetheservice,youwillberequiredtopayforthevalueoftheserviceupuntilthetimeyoucanceltheservice.Youwillbetakentohavecommencedtousetheservicebydoinganyofthefollowing:
(i)Sendingmessagestomembers;(ii)Readingreceivedmessagesfrommembers;(iii)SendingShowinterestalertstomembers.
(b)Ifyouhavenotcommencedusingourservicewithinthefourteen(14)daycancellationperiodyouareprovidedpursuanttotheConsumerContracts(Information,CancellationandAdditionalCharges)Regulations2013,youwillbeprovidedwitharefundofanyfeesyouhavepaidwithin14daysofourreceiptofyournoticeoftermination.
16.8TerminationunderConsumerRightsDirective2011/83/EU(CRD)
Thissectionappliestoyouonlyifyouarea"consumer"asdefinedintheConsumerRightsDirective2011/83/EU("theRegulations")andresidentwithintheEuropeanUnionandhavenotcommencedtousetheservice.IntheeventtheRegulationsapplytotheseTermsofUse,youmayterminateyourmembershipwithinfourteen(14)daysofregisteringasamemberoftheServicebyprovidingnoticeinwriting.YoumayusetheServiceimmediatelyuponregisteringasamember.
(a)Ifyouhavecommencedusingourservicewithinthefourteen(14)daycancellationperiodyouareprovidedpursuanttotheConsumerRightsDirective2011/83/EU,youwillbetakentohaverequestedweprovidetheservice.Intheeventthatyouhaverequestedweprovidetheservice,youwillberequiredtopayforthevalueoftheserviceupuntilthetimeyoucanceltheservice.Youwillbetakentohavecommencedtousetheservicebydoinganyofthefollowing:

17.Indemnity
Totheextentpermittedbylaw,youagreetoindemnify,defendandholdtheCompany,itsaffiliates,relatedbodiescorporate,shareholders,officers,employees,agentsandrepresentativesharmlessfromandagainstanyandallclaims,loss,damage,tax(includingGST),liabilityand/orexpense(includinglegalcostsonafullindemnitybasis)thatmaybeincurredbytheCompany,itsaffiliates,relatedbodiescorporate,shareholders,officers,employees,agentsandrepresentativesarisingoutoforinconnectionwith:
(a)anybreachbyyouoftheseterms;(b)anyunauthorizeduseofthesitethatcanbeconnectedorassociatedtoyou;(c)anybreachbyyouofanylaw;and(d)anyactoromissionthatyoumaydoinconnectionwiththesite.
YouagreetocooperatefullyinthedefenseofanyClaim.Wereservetheright(butareundernoobligation)toassumetheexclusivedefenseandcontrolofanymatterotherwisesubjecttoindemnificationbyyou,providedthatyoushallremainliableforanysuchClaim.
18.General
18.1FailuretoComply
TheCompanyacceptsnoliabilityforanyfailuretocomplywiththeseTermsofUsewheresuchfailureisduetocircumstancesbeyondourreasonablecontrol.
18.2NoWaiver
IfwewaiveanyrightsavailabletousundertheseTermsofUseononeoccasion,thisdoesnotmeanthatthoserightswillautomaticallybewaivedonanyotheroccasion.
18.3Severability
IfanyoftheseTermsofUseareheldtobeinvalid,unenforceableorillegalforanyreason,theremainingTermsofUseshallcontinueinfullforce.
18.4LanguageofAgreement
ThelanguageofthisAgreementisEnglish.WheretheCompanyhasprovidedatranslationoftheEnglishversionofthisAgreement,youagreethatthetranslationisprovidedforyourconvenienceonly.IfthereisanyinconsistencybetweentheEnglishlanguageversionofthisAgreementandatranslation,theEnglishlanguageversionwillprevail.
18.5Variation
WereservetherighttoamendtheseTermsofUsefromtimetotime.AmendmentswillbeeffectiveimmediatelyuponnotificationontheWebsite.YourcontinueduseoftheWebsitefollowingsuchnotificationwillrepresentanagreementbyyoutobeboundbytheseTermsofUseasamended.
18.6Assignment
YoumustnotassignanyofyourrightsunderthisAgreementorinrespectoftheServiceorWebsitetoanythirdparty.TheCompanyhastherighttoassignanyorallofitsrightsandobligationsunderthisAgreementortotheServicetoanythirdparty.AttheelectionoftheCompany,intheeventthattheCompany'sobligationsunderthisAgreementareassumedbyathirdparty,theCompanyshallberelievedofanyandallliabilityunderthisAgreement.
18.7Relationship
Youagreethatnojointventure,partnership,employment,oragencyrelationshipexistsbetweenyouandtheCompanyasaresultofthisAgreementoryouruseoftheServiceortheWebsite.
18.8GoverningLaw
(a)UserswhoarearesidentofanationintheEuropeanUnionagreethatthisAgreementisgovernedbythelawsofEnglandandWalesandagreetosubmittotheexclusivejurisdictionofthecourtsofEnglandandWales.(b)UserswhoarearesidentofanationthatisnotintheEuropeanUnionagreethatthisAgreementisgovernedbythelawsinforceofMaltaandagreetosubmittotheexclusivejurisdictionofthecourtsofthatjurisdiction.
19.StandardsAgainstChildSexualAbuseandExploitation
ChinaLoveCupid(hereinafter"App","Product",or"we","us","our"etc.)takesseriouslythesafetyofchildrenonourproductandiscommittedtoworkingtokeepourproductfreeofchildsexualabuseandexploitation.Westrictlyprohibitanyformofchildsexualabuse,exploitation,orinappropriatecontentinvolvingminors.OurStandardsAgainstChildSexualAbuseandExploitation(the"Standards")outlinetheactionswetaketoupholdthiscommitmentandtheexpectationsweplaceonallusersofourproduct.
WeencourageuserstoreportanycontentorbehaviorthatviolatestheseStandards.
19.4.EnforcementMechanisms
(a)Wetakeappropriateaction,includingbutnotlimitedtoremovingCSAM,afterobtainingactualknowledgeofit,inaccordancewithrelevantlawsandtheStandards.
(b)Wereviewandinvestigateallreportspromptly.
(c)Violationofthesestandardswillresultinremovalofcontent,suspensionofaccount,suspensionofmembership,andcontactingrelevantauthorities.WereservetherighttotakealltheappropriateactionstoupholdtheseStandards.
19.5.CooperationwithLawEnforcement
(a)Incompliancewithapplicablechildsafetylawsandregulations,wereportconfirmedCSAMtotheNationalCenterforMissingandExploitedChildrenorotherrelevantregionalauthority.
(b)Wearecommittedtofullcooperationwithlawenforcementauthoritiesintheinvestigationandprosecutionofchildsexualabuseandexploitationcases.Whenrequired,weprovidedataandassistancetohelpbringperpetratorstojustice.
19.6.UpdatestotheseStandards
TheseStandardsaresubjecttochangebyusatanytime,toensuretheyreflectcurrentlaws,regulations,andbestpracticesinpreventingchildsexualabuseandexploitation.

"EU"meansthepoliticalandeconomicunionofmemberstateslocatedinEuropeknownastheEuropeanUnion;
"EUCountry"meansanycountrywhoisacurrentmemberandpartytothetreatiesoftheEUandmeansAustria,Belgium,Bulgaria,Croatia,Cyprus,CzechRepublic,Denmark,Estonia,Finland,France,Germany,Greece,Hungary,Ireland,Italy,Latvia,Lithuania,Luxembourg,Malta,Netherlands,Poland,Portugal,Romania,Slovakia,Slovenia,SpainandSweden;
"PersonalData"meansanyinformationrelatingtoanidentifiablenaturalperson('datasubject');anidentifiablenaturalpersonisonewhocanbeidentified,directlyorindirectly,inparticularbyreferencetoanidentifiersuchasaname,anidentificationnumber,locationdata,anonlineidentifierortooneormorefactorsspecifictothephysical,physiological,genetic,mental,economic,culturalorsocialidentityofthatnaturalperson;
