（以下简称“甲方”）同意聘请云南亮剑律师事务所（以下简称“乙方”）为其常年法律顾问并办理本合同约定的法律业务，经双方协议，订立以下条款，共同遵守履行：
(hereinafterreferredtoasPartyA)agreestoretainYunnanLiangJianLawFirm(hereinafterreferredtoasPartyB)tobelong-termlegalcounselandtorenderthelegalservicesstipulatedunderthecontract.Therefore,throughfriendlynegotiationbothpartiesconcludeasfollows:
1．常年法律服务内容/ContentsofLong-TermLegalService
本合同项下，乙方向甲方提供如下法律服务：
PartyBrendersthelegalservicestoPartyAunderthecontractasfollows:
1.1就甲方公司的商业经营活动提供法律咨询和建议；
ToprovidelegalconsultationandsuggestionsaccordingtoPartyA’sbusinessoperation;
1.2按甲方要求就有关投资、开发等经营活动提供中国法律法规；
ToprovidePRClawsandregulationsoninvestment,development,etcuponPartyA’srequests;
1.3按甲方要求出具律师函；
TorenderletterofattorneyuponParty’srequests;
1.4审查、修改或拟定甲方所提供的合同、协议和其他法律文件；
Toreview,reviseordraftcontracts,agreementsandotherlegaldocumentspresentedbyPartyA;
1.5按甲方的要求出席董事会等有关的会议活动；
ToattendboardmeetingsandothermeetingsuponParty’srequest;
1.6负责甲方日常经营中的其他法律事务。
Todealwithotherlegalissuesregardingdailyoperation.
2．专项法律服务内容/ContentsofSpecializedLegalServices
除上述常年法律服务外，乙方亦可向甲方提供以下专项法律服务：
Inadditiontothelong-termlegalservicesmentionedabove,PartyBisalsoabletorenderthespecializedlegalservicesasfollows:
2.1对外直接投资、融资、并购、直接或者间接上市等公司事务；
Todealwithcompany’saffairsincludingdirectInvestment,financing,companymergerandacquisition,listingIssues(directorindirect)
2.2参加与甲方有关争议的诉讼、仲裁活动及生效司法文书的申请执行；
Toattendlitigation,arbitrationrelatedtoPartyAandtoapplyforperformanceofeffectivejudicialdocuments;
2.3受甲方委托办理重大项目的非诉代理；
Toactasnon-litigationagentofimportantprojectswhenentrustedbyPartyA;
2.4受甲方委托对公司重要行为进行见证；
Towitnesscompany’simportantactionswhenentrustedbyPartyA;
2.5受甲方委托参与公司对外商务谈判；
ToattendbusinessnegotiationwhenentrustedbyPartyA;
TorenderlegalopinionswhenentrustedbyPartyA;
2.7其他独立于日常经营业务的专项法律事务。
Otherspecializedlegalissuesseparatedfromdailybusinessoperation.
3．法律服务方式/MethodstoRenderLegalService
3.1乙方以公司常年法律顾问的形式为甲方提供法律服务，指派赵峰、范克众律师具体负责为甲方法律服务事项；如具体承办律师或律师助理因故无法及时提供高质量的法律服务时，乙方应安排其他同等专业资格的律师或助理按时完成法律服务；

A,meanwhile,Incasethedesignatedattorneysorlegalassistantsareunabletoprovidelegalservicesofhighqualitytimelyforcertainreasons,PartyBshallarrangeotherqualifiedattorneysorlegalassistantstoprovidelegalservicesontime;
3.2乙方可以视法律服务事项的内容以书面或口头形式提供法律服务；
PartyBisabletoprovidelegalservicesverballyorinwrittenformaccordingtothecontentsofthelegalservices;
Inrenderinglegalservices,PartyBmay,accordingtothespecificsituation,designateotherattorneys,legalassistants,secretariestodealwithrelatedissues,whichincludebutnotlimitedtodeliverdocuments,investigate,makedocuments,copydocumentsandrelatedlegalresearch;
3.4在法律服务过程中，如果经办律师离开乙方或者因其他原因无法代理甲方办理案件，乙方可以与甲方协商另行指派具有同等能级的其他律师办理甲方委托的事项。
Inrenderinglegalservices,incasethedesignatedattorneysleavePartyBorareunabletodealwiththePartyA’scasesforcertainreasons,PartyBmayappointotherqualifiedattorneystodealwiththeaffairsbynegotiationwithPartyA.
4．法律服务期限/TermofProvidingLegalServices
4.1甲、乙双方同意，本合同为常年法律服务合同，乙方的服务期限自年月日起计算。任何一方如需终止合同，应提前一个月以书面方式通知另一方。
BothPartiesagreethecontractislong-termlegalservicescontract,thetermPartyBprovidinglegalservicescommencesfrom（Time）.IfeitherPartyintendstoterminatethecontract,thePartyconcernedshallgiveonemonth’swrittennoticetothecounterpart.
5．服务费用支付/PaymentofAttorneyFee
5.1甲、乙双方同意，除本合同另有规定，甲方向乙方支付的法律顾问服务费为每年度人民币元。此费用于合同签订之日支付。
BothPartiesagree,unlessthecontractprovidesotherwise,PartyAshallpayRMBasattorneyfeeannually.TheattorneyfeehereofshallbepaidbyPartyAtoPartyBwithin5workingdaysaftersignatureofthecontract,
BothPartiesagreetheamountofattorneyfeecanbeadjustedaccordingtoactualworkinghours,andsuchadjustmentshallbemadeonanannualbasis.Incasethecontractisterminatedinadvance,bothPartiesshallsettleattorneyfeeinaccordancewithactualworkinghoursfromthecommencedateagreedinClause4.1ofthecontracttothedateonwhichthecontractisterminated.
TheattorneyfeementionedinClause5.1doesnotincludefeerelatedtothespecializedlegalservicesprovidedbyPartyBinClause2underthecontract.Asregardsthespecializedlegalservices,PartyAshallreachanotherengagementletterwithPartyBthroughnegotiationonacasebycasebasis,however,PartyBwillgivePartyA20%discountofgovernment-directedprice.
5.4除上述常年法律顾问服务费外，甲方应补偿乙方在提供法律服务的过程中合理支出的成本，如调查取证及赴外地的交通、食宿等差旅费用。
Inadditiontotheabovelong-termlegalservicesfee,PartyAshallreimbursePartyBtheexpensesoccurredduringrenderinglegalservices,suchasexpensesoccurredduringcollectingevidence,transportationfare,lodgingandboardexpenses,etcoccurredwhengoingtootherplacesoutsideShanghai.
6．乙方及经办律师的义务/ObligationsofPartyBandDesignatedAttorneys
6.1乙方指派的经办律师必须遵守律师职业道德和执业纪律，经办律师应当勤勉尽责，维护甲方的最大利益。
TheattorneysdesignatedbyPartyBshallcomplywithlawyer’sprofessionalethicsandpracticediscipline,anddesignatedattorneysshalldoduediligencetoprotectthelegalrightsandinterestsofPartyA.
6.2经办律师应当及时向甲方报告有关委托事项和案件的进展情况。
DesignatedattorneysshallreporttheprocessofcommitmentsandentrustedcasestoPartyAtimely.
DesignatedattorneyshavenorightstoexerciserightsbeyondPartyA’sauthorization.Incasethereisarealneed,anunambiguousauthorizationhastobemadebyPartyA.
6.4经办律师应随时接受甲方的法律咨询，双方以书面及会面形式联系并确认。甲方需要乙方出具书面意见的，应以法律顾问联系单的方式向乙方提出，乙方应根据甲方在法律顾问单中的回复时限作出答复。
DesignatedattorneysshallacceptPartyA’slegalconsultationsatanytime,andbothPartiesshallcontactandconfirmthroughwrittenformormeeting.IncasePartyArequiresPartyBtoprovidewrittenopinions,PartyAshallsetforththroughthemethodsoncontactsheetoflegalcounsel,andPartyBshallreplywithinthetimelimitagreedoncontactsheetoflegalcounsel.
6.5乙方及经办律师就本协议约定的法律顾问服务费和其他费用以外，无权要求甲方支付任何其他款项，但是如有必要需律师代缴代付予其他机构的费用除外。
PartyBanddesignatedattorneyshavenorightstoclaimanyotherfeesexceptthelegalservicesfeeandotherfeesagreedinthecontract,however,disbursementisexcept.
PartyBordesignatedattorneysshallnotifyPartyAimmediatelyincasecontactinformation,otherpracticecertificationandqualificationcertificationchange.
7、甲方的义务/ObligationsofPartyA
7.1甲方指派公司部先生/小姐作为与乙方常年法律服务事项的责任人和联系人。
PartyAdesignatesMr./Ms.fromdepartmentasworkingdirectorandlinkmantocontactwithPartyAduringtheperiodoflong-termlegalservices.
7.2甲方指派的专人应与乙方及经办律师诚实合作，向乙方及经办律师如实提供与案件有关的资料信息、如实陈述与案件有关的情况。
TheworkingdirectorandlinkmandesignatedbyPartyAshallcooperatehonestlywithdesignatedattorneys,providinginformationanddocumentsanddescribingthecasesaccordingtothefacts.
7.3如与案件有关的情况和事实发生变化，应及时告知乙方及经办律师。
Incasethesituationandfactsrelatedtocaseschange,PartyAshallnotifyPartyBanddesignatedattorneysimmediately.
7.4如果甲方变更联系信息，应当及时通知乙方及经办律师。
IncasePartyAchangescontactinformation,PartyAshallnotifyPartyBanddesignatedattorneysimmediately.
7.5按照约定及时支付律师费和其他费用。
PartyAshallpayattorneyfeeandotherfeetimelyaccordingtothecontract.
7.6无论何种情况，甲方向乙方及经办律师提出的要求均不得违反律师职业道德和执业纪律的规定。
AnyrequestssetforwardbyPartyAshallnotviolatelawyer’sprofessionalethicsandpracticedisciplineunderanycircumstances.
8、双方的职责/ObligationsofBothParties
8.1甲方承诺对所需服务项目的内容真实性承担法律责任，乙方承诺对所提供的服务的合法性承担法律责任。
PartyApromisestotakelegalresponsibilityforauthenticityofthecontentsoftheprojects;PartyBpromisestotakelegalresponsibilityforlegitimacyoftheprovidedservices.
8.2甲方应该按乙方的合理要求如实提供与乙方完成本合同项下之法律服务有关的书面文件。如因甲方提供的材料不实或有重大错误，致使乙方无法完成委托事项的，乙方不负任何责任。如甲方故意隐瞒事实，乙方有权提前终止本合同，其已收取的法律顾问服务费不予返还。
AccordingtoPartyB’sreasonablerequests,PartyAshall,basedonthefacts,providewrittendocumentsrelevanttolegalserviceswhichneedtobeperformedbyPartyBunderthecontract.IncasethedocumentsprovidedbyPartyAarenottrueorthedocumentsarewrongwhichmakePartyBfailtocompletethecommitmenttimely,PartyBshallnottakeanyresponsibilities.IncasePartyAhidesthefactsonpurpose,PartyBmayterminatethecontractinadvance,andthecollectedattorneyfeewillnotberefunded.
8.3乙方对所制作的法律文书的合法性承担法律责任，乙方以甲方名义制作的法律文书在得到甲方认可后，甲方再予使用。
PartyBshalltakelegalresponsibilityforlegitimacyofthelegaldocumentsmadebyPartyB.ThedocumentswhicharemadebyPartyBinthenameofPartyAshallbeusedbyPartyAafterPartyAacceptsthem.
8.4甲方理解，乙方或经办律师向甲方提供的分析、判断和意见，均不可理解为乙方或经办律师就案件和其他法律服务事项作出了成功或胜诉的保证。但乙方应确保所有经律师审核的合同的合法性和有效性，并确保在甲方要求的合理期限内完成各项服务。
PartyAunderstandsthatanyanalyses,judgmentsandopinionsprovidedbyPartyBanddesignatedattorneysshallnotberegardedasaguaranteetosucceedorwinthecasesandanyotherlegalservices.However,PartyBshalltakeresponsibilityforthelegitimacyandvalidityofallthecontractsreviewedbyPartyBanddesignatedattorneys,andensuretocompleteallserviceswithinPartyA’sreasonabletimelimit.
9、保守秘密/Confidentiality
9.1甲、乙双方共同承诺，本合同有效期内及期满后，双方应对本合同项下一方向另一方披露的任何数据、文件、资料及其他专门信息进行保密。保密信息不得以任何方式向外界披露，除非获得披露方事先书面同意。
ItisunderstoodthatbothPartiesshall,duringthetermofthecontractandaftertheexpirationofthecontract,maintaintheconfidentialityofanydata,documents,documentationandotherspecializedinformationwhicharedisclosedbyonePartytotheotherunderthecontract.Theconfidentialinformationshallnotbedisclosedtoanyotherthirdparties,unlesspriorwrittenpermissionisobtained.
Thecriminalevidence,theinformationwhichcanbereferredtoorobtainedpublicly,scopeofservicesunderthecontractandcontentsofpowerofattorneyshallnotbeconstruedassecretsofPartyA.IncasebothPartiesreachedConfidentialityAgreement,thecontentsofConfidentialityAgreementwouldprevail.BothPartiesshallmaintainconfidentialityoftheamountofattorneyfee.
10、利益冲突/InterestsConflict
PartyBanddesignatedattorneysshall,duringtheperiodofrenderinglegalservices,honestlynotifyPartyAthesituation,whichhasexistedormaybeexist,whenPartyBordesignatedattorneysareentrustedbyotherclientswhoseinterestsareinconflictwithPartyA’s.Underthecircumstancesofinterests’conflict,PartyAmaycanceltheauthorizationtowardsPartyBanddesignatedattorneys;PartyBmayarrangewithdrawalorterminatethecontract.
11、协议的解除及违约责任/TerminationofContractandLiabilityforBreachofContract
11.1甲方需解除本合同时，该解除通知在甲方依照乙方所提供的联系信息而发出的正式函件后7日内视为送达，送达之日起满一个月时，本合同解除，届时乙方经办律师停止向甲方继续提供法律服务。
IncasePartyAintendstoterminatethecontract,noticeofterminationshallbedeemedservedonthe7thdayafterthedateonwhichitwassentbyPartyAtothecontactaddressprovidedbyPartyB.ThecontractwillbeterminatedafteronemonthuponserviceandPartyBanddesignatedattorneysshallstopprovidinglegalservicestoPartyAsincethen.
11.2因甲方要求乙方提供的服务超出法律服务的范围、或者有违国家法律法规的规定和律师的职业道德，乙方可以拒绝提供服务并有权解除本合同，该解除通知在乙方依照甲方所提供的联系信息而发出的正式函件后7日内视为送达，送达之日起满一个月时，本合同解除。
PartyBmayrefusetoprovidelegalservicesandterminatethecontractiftheservicesrequiredbyPartyAfalloutsidethescopeofthecontract,ortheservicesviolatePRClaws,regulationsandprofessionalethics.Thenoticeofterminationshallbedeemedservedonthe7thdayafterthedateonwhichitwassentbyPartyBtothecontactaddressprovidedbyPartyA.Thecontractwillbeterminatedafteronemonthuponservice.
Aftereffectivenessofthecontract,PartyBmaychargePartyA0.5%ofoverduefeeperdayasliquidateddamagesifPartyAfailstopaytheattorneyfeetimely.Incasetheattorneyfeeisoverduemorethan15days,PartyBmayterminatethecontractbutPartyBshallnotifyPartyAinwriting.
12、协议的可分性/Severability
12.1本合同中的任何条款如因任何原因导致全部或部分无效，本合同的其他条款仍保持原有的效力，应当予以履行。
Ifanyprovisionsofthecontractshallbeheldnullandvoid,whollyorinpart,foranyreasons,theotherprovisionshereofshallstillbevalidandshallbecarriedout.
13、其他约定/Miscellaneous
13.1与本合同履行有关的通知、请求或其他通讯往来，应当以书面方式提交对方，提交方式包括平信邮寄、挂号邮寄、专人送达、传真、电子邮件等方式，传递至对方如下所示地址：

13.2乙方与甲方之间就法律和其他费用发生争议的，甲方可以直接与乙方进行协商，如果协商不成的，约定由乙方所在地法院管辖。
Withregardtothedisputesrelatedtolawandfee,PartyAmaynegotiatewithPartyBdirectly.BothPartiesagreethatsuchdisputesshallbesubmittedtothePeople’sCourtofPartyB’sPlace.
13.3本合同经甲、乙双方共同签署并加盖公章后生效。本合同一式二份，双方各执一份，具同等法律效力。
Thecontractshalltakeeffectuponsignatureandsealofbothparties.Thecontractismadein2copies,eachpartyholdingone,andeachonehassamelegaleffect.
