OnJanuary28,2013,theStateAdministrationofForeignExchange(SAFE)releaseCircularoftheStateAdministrationofForeignExchangeonIssuesConcerningForeignExchangeControlforOverseasListing(“Circular”).
"Circular"integrateandimprovetheforeignexchangemanagementpolicyunderthedomesticenterprisesoverseaslisting,onthecontenthighlightedthefollowingfeatures:thefirstistogreatlysimplifytheproceduresandmaterialsonregistrationandapprovalmanagements.Whenenterpriseshandletherelevantregistrationproceduresaccordingtotherequirementsofoverseaslisting,itcanbehandledbythebankaccountopening,fundstransferprocedures,withouttheapprovalofSAFE.Thesecondistostandardizethemoneyexchangebusinessontheshareholderswithintheterritoryofoverseaslistedenterprisestoincrease(orreduce)theforeignshares.Thethirdistoimproveandperfectthesystemandmeansofthedatacollectingandstatisticsunderoverseaslisting,combinedwiththeongoingcapitalprojectinformationssystemintegrationwork,inenhanchingthebusinessfacilitationatthesametime,improvethescientificandeffectivesupervision.
OnApril19,2013,theStateAdministrationofTaxation(SAT)releasedtheAnnouncementoftheStateAdministrationofTaxationonIssuesConcerningEnterpriseIncomeTaxonLaborServicesProvidedinChinabyPersonnelDispatchedbyNon-residentEnterprises(the"Announcement").
AccordingtotheAnnouncement,withregardtoapersondispatchedbyanon-residententerprisewhoprovidealaborserviceinChina,ifthedispatchingenterprisebearspartoralloftheliabilitiesandrisksfortheworkresultofsuchpersonandusuallyexaminesandassessestheperformanceofsuchperson,thedispatchingenterpriseshallbedeemedtohaveprovidedthelaborserviceinitsestablishmentorpremiseinChina;ifthedispatchingenterprisefallswithinenterprisesoftheothercontractingcountryunderataxtreatyandhasarelativelyfixedandpermanentestablishmentorpremisesforprovidinglaborservices,suchestablishmentorpremisesaretoberegardedasthepermanentofficesetupinChina.
OnMay10,theStateAdministrationofForeignExchange(SAFE)issuedtheNoticeoftheStateAdministrationofForeignExchangeonPrintingandDistributingthe"ProvisionsonForeignExchangeAdministrationofDomesticDirectInvestmentbyForeignInvestors"andSupportingDocuments(HuiFa[2013]No.21,hereinafterreferredtoasthe"Provisions")whichcameintoforceonMay13,2013,tofurtherstandardizeandclarifytheissuesconcerningforeignexchangeadministrationofdomesticdirectinvestmentbyforeigninvestors(hereinafterreferredtoasthe"foreigndirectinvestment"or"FDI").
TheProvisionsfurthersimplifyandintegratetheprocessesandpoliciesonFDI-relatedforeignexchangeregistration,accountopeninganduse,receiptandpaymentoffunds,andforeignexchangesettlementandsalesonthebasisofadjustingFDIforeignexchangeadministrationpoliciesinDecember2012.TheProvisionsalsoincreaseeffortsoncleanupofFDIforeignexchangeadministrationprovisions,andrepeal24regulationsonFDIforeignexchangeadministration,includingtheNoticeonPrintingandDistributingthe"InterimMeasuresfortheAdministrationofForeignExchangeRegistrationforForeign-InvestedEnterprises"([96]HuiZiHanZiNo.187)andtheReplyontheIssuesConcerningForeignExchangeAdministrationofDomesticProjectsContractedforbyOverseasEnterprises([98]HuiZiHanZiNo.204).
OnMay14,2013,theNationalDevelopmentandReformCommission(NDRC)andtheMinistryofCommerce(MOFCOM)jointlyreleasedtheCatalogueofPriorityIndustriesforForeignInvestmentinCentralandWesternChina(Revisedin2013)undertheOrderNo.1.TheCataloguewillgointoeffectonJune10,2013.TheCatalogueofPriorityIndustriesforForeignInvestmentinCentralandWesternChina(Revisedin2008)(Order[2008]No.4oftheNationalDevelopmentandReformCommissionandtheMinistryofCommerce)releasedbytheNDRCandtheMOFCOMonDecember23,2008willberepealedsimultaneously.
AccordingtotheProvisionsonGuidingForeignInvestmentDirection(Order[2002]No.346oftheStateCouncil),theforeigninvestmentprojectsintheCatalogueofPriorityIndustriesforForeignInvestmentinCentralandWesternChina(Revisedin2013)willenjoythepreferentialpoliciesforforeigninvestmentprojectsundertheencouragedcategory.TheforeigninvestmentprojectsunderconstructionandinlinewiththeprovisionsofsuchCataloguecanalsobeimplementedinaccordancewiththerelevantpoliciesofsuchCatalogue.
OnJuen3,2013,theQianhaiAdministrationpublishedtheKeyPointsforLandManagementReformInnovationoftheQianhaiShenzhen-HongKongModernServiceIndustryCooperationZoneofShenzhenCity(2013-2025)recently.ThekeypointsstatethatQianhaiwillattaininnovationandbreakthroughsinfiveaspects,namely,theestablishmentofdifferentiatedlandsupplymode,integrationoperationmodeforlandresources,assetsandcapital,promotionofeconomicandintensiveutilizationofland,landmarketregulationandsupervisionmechanismandlandmanagementsystemsandmechanisms.
Thekeypointscoversixrules,namely,(1)exploringnewmodeforforeign-investedequityinvestmententerprisesinQianhaiinnovativedevelopment;(2)appropriatelyloweringmarketaccessconditionsundertheframeworkofCEPA;(3)launchingapilotprojectforestablishingnewtypesoffinancialinstitutionsandbuildingnewtypesoffactortradeplatforms;(4)releasingthecatalogueofpreferentialindustriesinQianhaiandlevyingtheenterpriseincometaxoneligibleenterprisesata15percenttaxrate;(5)jointoperationoflawfirmsbetweentheMainlandandHongKong;and(6)includingQianhaiinthepilotprojectformutualrecognitionofprofessionalqualificationsinGuangdongProvinceapprovedbytheState.
Accordingtosourcesfromrelevantauthoritiesrecently,followingthenewrulesontheforeignexchangeadministrationofforeigndirectinvestments(FDI)issuedbytheStateAdministrationofForeignExchangeandtheCatalogueofAdvantageousIndustriesforForeignInvestmentintheCentralandWesternRegions,aseriesofpoliciesrelatingtotheimprovementofFDIexaminationandapprovalprocessandoftheinvestmentenvironmentareexpectedtobereleasedthisyear.
Accordingtoreports,theMinistryofCommerceandotherrelevantdepartmentshavedetermined"improvingthequalityinforeigninvestmentutilizationbasedonthesizeofstablyutilizedforeigninvestment","betterguidingforeigncapitaltoinvestinserviceindustries,highadded-valuemanufacturingandothersectors,andthecentralandwesternregions"andotherpointsasthemaingoalsfortheeffortsinattractingforeigninvestmentin2013.Aseriesofpoliciesaretobereleasedintensivelytoattainthegoals.
IntermsofFDIexaminationsandapprovals,effortswillbemadetodeepenthetransformationofgovernmentfunctions,activelyyetprudentlystreamlineadministrationanddelegatemorepowertolowerlevels,andbuildaservice-orientedgovernment.Atpresent,therevisiontothe"threelaws"onforeigninvestment(theLawonSino-foreignEquityJointVentures,theLawonSino-foreignCooperativeJointVenturesandtheLawonForeignInvestmentEnterprises)ledbytheMinistryofCommerceisbeingexpedited.Itwaslearnedthatthethreelawsonforeigninvestmenthavebeenrevisedrespectivelyaround2001.Thiswastenyearsagoandassuchtheselawsrequireafurtherrevision.Moreover,acoreobjectiveofthisrevisionistoimprovetheFDIexaminationandapprovalprocess.
AccordingtoasourcefromtheHainanDevelopmentandReformCommission,theCatalogueofAdvantageousIndustriesforForeignInvestmentintheCentralandWesternRegions(Revisedin2013)(the"Catalogue")promulgatedrecentlywillbecomeeffectiveasofJune10,2013,uponapprovalbytheStateCouncil.TheCatalogueincludesforthefirsttimeHainanProvinceasacoveredprovincewhichwill,withother21provinces,besubjecttopreferentialpoliciessuchassupportinencouragedforeigninvestmentprojectsandtaxreductionandexemptionbytheState.
Article28oftheCertainOpinionsonPropellingConstructionofHainanasanInternationalTourismDestinationissuedbytheStateCouncilprovides:accordingtotheoverallrequirementsfortheconstructionofaninternationaltourismdestination,HainanshallbeaddedasaprovincecoveredintheCatalogueofAdvantageousIndustriesforForeignInvestmentintheCentralandWesternRegions.
Inparticular,amongHainanProvince’s22clausesaslistedintheCatalogue,thereare12clausesinvolvedtourismsectorandthesectorsoftransport,medicalandinfrastructureconstructionthatarecloselyrelatedtotourism,whichfullyreflectstheState’ssupportinthedevelopmentoftheHainantourism.
AccordingtothelateststatisticsofPriceWaterhouseCoopersLLP("PWC")，Chinaenterprisesachieved5-foldsurplusincreaseinoverseasacquisitionslastyear.In2012,ChinaenterprisesmadeacquisitionsabroadworthUSD65.2billion,arecordhigh.However,itwasUSD10.3billionin2008.
PWCreportshowsthat,intheglobalacquisitionboom,Chinahastakentheleadingpositioninthefiveemergingmarketssince2009,andChinaproportionhitarecordhighin2012,amongwhich70percentoftheinvestmentsfromemergingmarketstomaturemarketsweremadebyChina.
Atthespecialpressconferenceon"QualityandLevelofFDIUtilization"heldonJune4,2013,YaoJian,thespokesmanoftheMinistryofCommerce(MOFCOM),introducedtheactualutilizationofforeigndirectinvestment("FDI")inChina.Hesaid,China’ssizeinattractingFDIissteadilyexpanded,showingtoaconsiderableextentthecompetitivenessofChina’seconomyandtheinternationalinvestors’recognitiononChina’sinvestmentenvironment,andtheMOFCOMwillfurtheroptimizeChina’sFDIenvironmentbyopeningthemarket,delegatingadministrativeexaminationandapprovalauthority,etc.
ThedataoftheMOFCOMshowsthattheamountofactuallyattractedFDIinChinawasUSD111.72billionin2012,a49.4percentincreaseover2007.AsoftheendofApril,theaccumulativeamountofactuallyattractedFDIwasUSD1.3trillion,rankingthesecondintheworld.Inaddition,theamountofattractedFDIinasinglemonthhaskeptpositivegrowthforthreeconsecutivemonthsinFebruary,MarchandAprilofthisyear,withayear-on-yeargrowthof1.21percentfromJanuarytoApril.
InJune18,2013,MOFCOMheldaregularpressconference.CommerceMinistryspokesmanShenDanyangsaidatthemeeting,fromJanuarytoMay，2013，foreign-investedenterprisesnewlyapprovedtosetupis8609households,down7.04%;theamountofFDIactuallyutilizedUSDis47.595Billion,anincreaseof1.03%.TheamountoftheactualutilizedUSDinMayis9.256Billion,year-on-yeargrowthof0.29%(notincludingbanking,securities,insurancefielddata).
Recently,thereporterlearnedfromtheChangchunCityBusinessBureau，theamountofFDIactuallyutilizedthisinChangchunfromJanuarytoMay，2013isUSD13.4781Billion,anincreaseof30.4%.Theforeign-investedenterprisesnewlyapprovedtosetupis14households,down36.4%;theamountofcontractedforeigncapitalisUSD12.1876Million,down76%。

2013年1月28日，国家外汇管理局发布了《国家外汇管理局关于境外上市外汇管理有关问题的通知》（《通知》）。
2013年4月19日，国家税务总局发布《国家税务总局关于非居民企业派遣人员在中国境内提供劳务征收企业所得税有关问题的公告》（《公告》）。
《公告》规定，非居民企业派遣人员在中国境内提供劳务，如果派遣企业对被派遣人员工作结果承担部分或全部责任和风险，通常考核评估被派遣人员的工作业绩，应视为派遣企业在中国境内设立机构、场所提供劳务；如果派遣企业属于税收协定缔约对方企业，且提供劳务的机构、场所具有相对的固定性和持久性，该机构、场所构成在中国境内设立的常设机构。
5月10日，国家外汇管理局发布《国家外汇管理局关于印发〈外国投资者境内直接投资外汇管理规定〉及配套文件的通知》（汇发[2013]21号，以下简称“《规定》”），进一步规范和明确外国投资者境内直接投资（以下简称外商直接投资，即FDI）外汇管理，《规定》自2013年5月13日起实施。
《规定》在2012年12月对FDI外汇管理政策调整实践的基础上，进一步简化并整合了外商直接投资所涉及的外汇登记、账户开立与使用、资金收付及结售汇等环节和政策。《规定》同时加大了外商直接投资外汇管理规定的清理力度，废止了《关于下发〈外商投资企业外汇登记管理暂行办法〉的通知》（[96]汇资函字第187号）、《关于境外企业承包境内工程外汇管理若干问题的复函》（[98]汇资函字第204号）等24项外商直接投资外汇管理法规。
2013年5月14日，国家发改委、商务部以第1号令联合发布了《中西部地区外商投资优势产业目录（2013年修订）》。该目录自2013年6月10日起施行，2008年12月23日国家发展和改革委员会、商务部发布的《中西部地区外商投资优势产业目录（2008年修订）》（国家发展和改革委员会、商务部令2008年第4号）同时废止。
根据《指导外商投资方向规定》（国务院令2002年第346号）的规定，属于《中西部地区外商投资优势产业目录（2013年修订）》的外商投资项目，享受鼓励类外商投资项目优惠政策。符合该目录规定的外商投资在建项目，可按照该目录的有关政策执行。
2013年6月3日，前海管理局对外公布《深圳市前海深港现代服务业合作区土地管理改革创新要点（2013-2015年）》。要点表明，前海将在建立差别化土地供应模式、土地资源资产资本一体化运作模式、推进土地节约集约利用、土地市场调控和监管机制，以及土地管理体制机制等五大方面实现创新和突破。
要点包含六条原则：探索外资股权投资企业在前海创新发展的新模式；CEPA框架下适当降低港资金融企业的准入条件；试点设立创新型金融机构，建设新型要素交易平台；出台前海产业优惠目录，对符合条件的企业减按15%税率征收企业所得税；内地与香港律师事务所联营；将前海纳入经国家批准的广东省专业资格互认试点范围。
2013年6月4日，商务部召开的“提高利用外资质量和水平”专题新闻发布会上，商务部外贸司副司长黄峰表示，目前正在研究推进外商投资行政审批制度改革，未来将进一步下放审批权，商务部正由“重事前审批”向“重事中事后监管”转变。
黄峰指出，为推动投资便利化，商务部最大幅度缩小外资审批范围，不断下放外资审批权限，减少审批事项，大力推行格式化合同、章程审批，选取了北京、上海、江苏、广东四地先行试点；完善并推行“外商投资企业在线行政许可系统”，实现“在线审核、动态监管”，提高外资审核效率。
据介绍，目前，鼓励类和允许类3亿美元以下、限制类5000万美元以下的外商投资企业设立及其变更事项均由各地政府部门审批，不需再报中央政府部门审批，商务部审批数量已由2005年3000多件减少到2012年的100余件，审批量减少了95%。
近日从海南省发改委获悉，经国务院批准，日前发布的《中西部地区外商投资优势产业目录(2013年修订)》将于6月10日起正式施行。该目录首次将海南省列入执行省份，将与其他21个省份一起享受鼓励类外商投资项目支持、国家减免税收等优惠政策。
国务院《关于推进海南国际旅游岛建设发展的若干意见》第二十八条提出：按照国际旅游岛的总体要求，研究将海南省增列为《中西部地区外商投资优势产业目录》执行省份。
普华永道会计师事务所最新统计显示，期间中国企业海外并购额增加5倍多。2012年，中国企业的并购交易额达652亿美元，创下历史新高，而2008年这一数字还只是103亿美元。
普华永道报告显示，在全球市场的并购热潮中，中国自2009年以来已占据五大新兴市场中的领先地位，2012年中国的占比达到历史新高，就交易金额而言，近70%新兴市场对成熟市场的投资来自于中国。
商务部6月4日就“利用外资质量和水平”举行专题新闻发布会。商务部新闻发言人姚坚介绍了我国实际使用外资情况。他表示，我国吸收外资规模稳步扩大，在相当程度上证明了中国经济的竞争力和国际投资者对中国投资环境的认可，商务部将通过开放市场、下放行政审批权等方式进一步优化我国外商投资环境。
商务部数据显示，2012年，我国实际吸收外资金额1117.2亿美元，比2007年高出49.4%。截至4月底，累计实际吸收外资金额1.3万亿美元，在全球排名中居第二位。此外，今年2、3、4连续3个月单月吸收外资保持正增长，1-4月同比增长1.21%。
2013年6月18日，商务部召开例行新闻发布会。商务部新闻发言人沈丹阳在会上表示，2013年1-5月，全国新批设立外商投资企业8609家，同比下降7.04%；实际使用外资金额475.95亿美元，同比增长1.03%。5月当月，全国实际使用外资金额92.56亿美元，同比增长0.29%(未含银行、证券、保险领域数据)。
日前，从长春市商务局获悉，今年1-5月份，全长春市实际利用外资134478.1万美元,同比增长30.4%。新设立外商投资企业14户，同比减少36.4%；合同外资金额12187.6万美元，同比减少76.0%。
